Banking & Finance Law Clerk :
Our firm is seeking an experienced Banking & Finance Law Clerk to join our Corporate Practice. The successful candidate will provide high-level support on a broad range of financing transactions.
The ideal candidate is proactive, detail-oriented, and organized, with the ability to manage multiple matters and shift priorities while working independently and collaboratively with lawyers and colleagues.
Duties and Responsibilities:
- Provide legal and transactional support to lawyers on corporate and commercial matters, including mergers and acquisitions, corporate reorganizations and debt financing transactions.
- Assist with all stages of transactions from commencement through closing, including initial drafting of transaction documents (including closing agenda), managing revisions, coordinating and reviewing searches, preparing reports and summaries, record book generation and diarizing of post-closing matters.
- Assist with PPSA registrations, discharges, and related matters.
- Maintain corporate records, filings, and compliance documentation.
- Communicate with lawyers, clients, opposing counsel and other stakeholders to advance transactions and ensure deadlines and closing requirements are satisfied.
Qualifications:
- 10 years of Law Clerk experience, including a minimum of 5 years specializing in banking and finance transactions.
- Completion of a Law Clerk program recognized by the Institute of Law Clerks of Ontario (ILCO).
- A member in valuable standing with ILCO.
- Demonstrated experience coordinating complex transactions and managing multiple concurrent files in a fast-paced practice environment.
Knowledge & Skills:
- Knowledge and understanding of corporate statutes and the Personal Property Security Act (Ontario).
- Robust computer skills, including Word, Outlook, and corporate databases.
- Excellent administrative, organizational, and time management skills, including timely docketing.
- Excellent written and verbal communication skills.
- Strong analytical, research, and problem-solving skills.
- Detail-oriented, hardworking, and self-motivated.
- Ability to work independently with minimal supervision while contributing effectively as part of a team.
- Professional demeanour with the ability to communicate effectively with individuals at all levels.

Compensation:
The expected annual salary range for this position is $100,000.00-$130,000.00. Compensation will be determined based on a variety of factors, including the successful candidate’s experience, skills, qualifications, and job-related knowledge.
