About the Opportunity
EDC: MV is a mission-driven charitable organization committed to serving its community through its approved charitable purposes.
EDC: MV is seeking a thoughtful, dependable governance leader to serve as Board Vice President. The Vice President is a voting officer and director who supports the Founder and President in Board governance, continuity, and accountability. The role helps the Board prepare for decisions, follow through on priorities, and use fair governance processes. It does not replace or diminish the President's authority, voting privileges, or founder role.
What You'll Do
- Support the President with Board meeting preparation, decision tracking, and follow-up on Board-approved priorities.
- Help keep Board discussions connected to EDC: MV's mission, strategic direction, and approved charitable purposes.
- Review Board materials when requested and identify issues requiring clarification, discussion, formal approval, or follow-up.
- Chair a Board meeting only when the President is unavailable, conflicted, or has delegated that responsibility.
- Carry out documented governance duties delegated by the President or Board and return temporary responsibilities when the delegation ends.
- Maintain familiarity with current Board priorities, major risks, active projects, and upcoming compliance deadlines to support leadership continuity.
- Receive and appropriately escalate concerns when the President is unavailable, directly involved, or reasonably perceived to have a conflict of interest.
- Support conflict-of-interest procedures, fair review of sensitive matters, Board action tracking, director participation,
annual self-review, and recent-director onboarding.
What We're Looking For
- Experience with Board governance, organizational leadership, committees, policy, or comparable community leadership.
- Ability to support the President constructively while exercising independent judgement as a director.
- Strong meeting facilitation, listening, communication, and relationship-building skills.
- Calm judgement and discretion when handling conflicts, complaints, sensitive discussions, or leadership transitions.
- Understanding of the distinction between Board governance and day-to-day operations.
- Reliability, preparation, and capacity to devote the time required for meetings, governance work, and follow-up.
Additional Assets
Previous nonprofit, charitable, governance, policy, mediation, or committee-chair experience is an asset. EDC: MV also values relevant community leadership and lived experience.
Governance and Role Boundaries
All directors share collective responsibility for Board governance and decisions. This posting summarizes the opportunity; EDC: MV’s governing documents, valid Board resolutions, approved policies, and the signed position agreement prevail if a conflict arises.
- The Vice President does not override or replace the President's authority, founder role, or voting privileges.
- The Vice President cannot speak publicly for EDC: MV, bind the organization, sign agreements, approve spending, change compensation, or move funds unless separately authorized.
- The role does not include directing employees, contractors, volunteers, or program leads unless a separate operational role is approved.
- The Vice President cannot approve their own expenses, reimbursement, compensation, or related-party transactions and may access only the confidential information required for governance.
