Arkfield Capital is seeking an experienced Inhouse Corporate Clerk to join our team on a 12-month contract, providing coverage during a planned leave of absence. In this role, you will work closely with our in-house counsel to support the fundraising, financing and investment activity carried out by Arkfield, while also liaising with external legal counsel, stakeholders, partners and other internal teams in the preparation and management of real estate transactions.
The successful candidate will start immediately, allowing for a thorough transition and training period alongside the current Corporate Clerk ahead of the leave. Reporting to and partnering day-to-day with in-house counsel, you will play a central role in maintaining corporate records and filings, supporting transactions from formation through to financing and distribution, and ensuring our real estate holdings remain properly registered and organized, including through Teraview.
This is a hands-on role suited to a highly organized, detail-oriented professional who thrives under pressure and takes initiative. You'll work alongside an experienced team in a collaborative, non-hierarchical culture that values communication, organization, structure, and professionalism as we grow our platform at Arkfield.
What You'll Do
Managing corporate records, including maintenance of minute books, organizational charts, and corporate filings
Drafting and/or reviewing legal documents to support subscriptions by investors, financings, and the formation and dissolution of entities
Coordinating and documenting transactions/investments, including flows of funds (loans, capital contributions, returns of capital and distributions)
Preparing, submitting and tracking real estate and corporate filings, including registrations and searches through Teraview and other land registry/government systems
Liaising with external legal counsel and other stakeholders,
providing timely and accurate responses to inquiries from internal and external parties
Supporting compliance activities
Supporting the preparation of board packages, including agendas, performance summaries, and collecting and sharing supporting documents
Regularly collaborating with internal teams across departments (finance, development, asset management) on matters related to investments and transactions
What We're Looking For
Diploma from a recognized Ontario Law Clerk program certified with The Institute of Law Clerks of Ontario (or equivalent corporate administration/legal experience with an outstanding performance record)
4-6 years of experience as a corporate law clerk; experience in a law firm or in-house legal department of a real estate investment firm is an asset
Demonstrated experience with corporate filings and corporate organization, including minute books, registers and organizational charts
Experience with Teraview and real estate registration/land titles processes is a strong asset
Strong technical skills with MS Office (Word, Excel, and Outlook)
Exceptional organizational skills and superb attention to detail
Excellent written and verbal communication skills, with sound judgment and professionalism
A strong sense of urgency and the ability to prioritize competing deadlines
A proactive self-starter who takes initiative, anticipates needs, and works independently while collaborating effectively across different departments
Ability to multi-task and adapt quickly to shifting priorities and tight turnaround times in a fast-paced environment
