Join Banyan Software as the Director, Legal specializing in Mergers & Acquisitions in Toronto, ON. Lead high-volume deal execution and contribute to our energetic portfolio. This is a senior role focused on lead legal due diligence and purchase agreement negotiations driving Banyan's high-volume M&A; practice.

You will collaborate closely with M&A; Directors and Operating Partners to ensure transactions are completed on time and within risk parameters. With a pathway to Portfolio General Counsel, you will help shape the legal strategy for our diverse portfolio companies. Key Responsibilities:

- Lead legal due diligence on acquisitions, identifying risks
- Draft and negotiate purchase agreements and deal documents
- Manage external counsel relationships for complex deals




- Provide day-to-day legal support for portfolio companies
- Advise leadership on operational legal inquiries Requirements:
- 5-7 years of legal experience in M&A; transactions
- Familiarity with tech legal issues and SaaS licensing
- In-house experience at a technology company preferred
- Licensed to practice in Ontario, immediate admission preferred
