Legal Counsel & Director, Transactions and Operations

Employment: Full-time

Reports to: CEO

Compensation: Competitive base salary and annual performance bonus, together with the opportunity to participate in the economics of select transactions based on performance and tenure.

Role

Serve as the CEO’s right hand and drive the company’s day-to-day execution across legal matters, transactions, corporate administration and property oversight. This is a hands-on role in a lean organization: the successful candidate will complete work directly, coordinate outside professionals, follow up until matters are resolved and present the CEO with clear findings, recommendations and decisions. Become directly involved when necessary to resolve urgent or escalated issues.

Ensure operations continue smoothly when the CEO is travelling or unavailable.

Responsibilities

1. Legal and Transactional Responsibilities

- Drafting and Negotiation: Draft, review and negotiate LOIs, purchase agreements, leases, NDAs, partnership and joint-venture agreements and other commercial documents.
- Due Diligence and Closing: Manage transactions from offer through post-closing, including due diligence, deadlines, financing, insurance, closing documents, and other deliverables.
- Data and Records: Maintain transaction data rooms, checklists, and records.
- Professional Coordination: Direct and monitor outside counsel, lenders, consultants, accountants, partners and other professionals.

Corporate and Administrative Operations

- Governance: Prepare director and shareholder resolutions for all corporate actions.
- Records and Compliance: Maintain minute books, organizational charts, government accounts, annual corporate requirements.
- Service-Provider Oversight: Coordinate bookkeepers, accountants, and other service providers ensuring all work and deadlines are completed.
- Executive Support: Assist the CEO with research, municipal coordination, travel, document execution, recruitment and other administrative matters.

3. Asset Oversight

This role monitors our properties and ensures follow-through; it does not perform day-to-day property management.

- Monitoring: Coordinate property onboarding for new acquisitions, review monthly reporting, track key obligations and deadlines, and ensure managers complete required work on time.
- Escalation: Step in when managers are underperforming or urgent issues occur.

Qualifications

- Good standing of the Barreau du Québec.
- Three to five years of commercial real estate and corporate law experience, including regularly acting as the primary lawyer responsible for drafting and negotiating commercial real estate agreements (purchase agreements, leases, partnership/JV agreements, etc).
- Experience with title searches, due diligence, financing and commercial real estate closings.
- Experience preparing corporate resolutions and maintaining corporate records.
- Strong written and verbal communication skills in English and French.
- Strong legal and financial judgment, exceptional organization and attention to detail, an entrepreneurial mindset, and ability to learn quickly.
- Ability to work independently, manage multiple deadlines and personally handle both legal and administrative work.
