Headquartered in Toronto, the Canada Infrastructure Bank (CIB) is responsible for investing in new infrastructure projects. The CIB’s mission is to work with provincial, territorial, municipal, federal, Indigenous and private sector investor partners to transform the way infrastructure is planned, financed and delivered in Canada.

The CIB is seeking an experienced legal executive to serve as

Vice President, Enterprise Legal . Reporting to the EVP & Chief Legal and Information Officer (CLIO), you will lead the Enterprise Legal function and provide strategic oversight of corporate and commercial law, procurement legal support, corporate governance, compliance, privacy, information governance and enterprise legal policy. This role serves as a key member of the Legal leadership team and acts as the CLIO’s principal delegate for enterprise legal matters.

The Vice President, Enterprise Legal plays an important role in supporting the Board, executive leadership team and functional business groups by delivering practical, risk-based legal advice, strengthening governance and compliance frameworks, driving legal operational excellence and developing the Enterprise Legal team.

Toronto is the preferred location for this role, given its close collaboration with the Executive Team and key corporate functions. The CIB will also consider exceptional candidates based in other CIB office locations where there is a compelling fit with the requirements of the role.

Your responsibilities include

Strategic Leadership & Enterprise Legal Oversight

Lead the Enterprise Legal portfolio, including corporate and commercial law, procurement legal support, corporate governance support, compliance and enterprise policy development

Serve as deputy to the CLIO on enterprise legal, governance and compliance initiatives, providing continuity of leadership and strategic support across the organization

Establish Enterprise Legal priorities, service standards, resource plans and operational objectives aligned with the CIB’s strategic direction

Oversee intake, triage, prioritization and allocation of enterprise legal work to ensure timely, consistent and high-quality service delivery

Legal Advisory, Commercial & Procurement Support

Provide strategic legal guidance on corporate, commercial, governance, compliance, procurement,



privacy and emerging legal matters

Oversee the development, negotiation, standardization and risk management of commercial agreements and legal templates used across the organization

Lead legal support for procurement activities, including advising on contracting risks, procurement frameworks and exceptions to standard approaches

Manage external legal counsel and related legal budgets within delegated authorities

Governance, Compliance & Risk Management

Provide governance-related legal support and advice regarding Board and Committee governance frameworks, delegations of authority and corporate policies

Lead the review and modernization of governance instruments, including by-laws, charters, delegations and governance policies

Identify and assess emerging legal, regulatory, operational and reputational risks, as well as recommend practical mitigation strategies

Support enterprise compliance programs, policy governance activities, information governance initiatives, privacy frameworks and ethics-related obligations

Monitor legal and regulatory developments affecting Crown corporations and advise on required organizational responses

Executive Advisory & Stakeholder Engagement

Act as a trusted advisor to executive leaders on enterprise legal, governance, compliance and risk matters

Prepare executive briefings, governance materials, policy recommendations and Board-related legal documentation.

Represent the Legal function on enterprise initiatives, governance forums, committees and cross-functional working groups

Build strong partnerships across Human Resources, Finance, Enterprise Risk, Information Technology, Investments and other business functions

People Leadership & Capability Development

Lead, develop and mentor members of the Enterprise Legal team while fostering a high-performance, collaborative and client-focused culture

Support succession planning, workforce planning, capability development and continuous improvement initiatives within the Legal function

Promote legal knowledge sharing, operational excellence and consistent legal standards across the enterprise

Your ideal profile

LL.B., J.D.



or equivalent law degree and member in good standing of the Law Society of Ontario or the Barreau du Québec

Minimum 12 years of progressively senior legal experience gained in a combination of leading law firms, in-house legal departments, Crown corporations, public sector organizations, financial institutions or similarly regulated environments

Demonstrated experience advising executive leadership teams and senior stakeholders on complex legal, governance, commercial, compliance and enterprise risk issues

Deep expertise in corporate governance, procurement, commercial contracting, compliance, policy development and enterprise legal risk management, with a strong understanding of the legislative and policy environment applicable to Crown corporations or comparable organizations

Proven ability to assess complex and emerging legal issues, balance legal, operational, reputational and business considerations, as well as provide practical, risk-based advice in a dynamic environment

Experience designing and implementing enterprise-wide governance, compliance, ethics or legal risk management frameworks and programs

Exceptional relationship-building and influencing skills, with the ability to establish credibility and trusted partnerships across executive leadership, Boards, government stakeholders, regulators, external counsel and business partners

Outstanding communication and presentation skills, including the ability to distill complex legal and governance issues into explicit, actionable and decision-ready advice

Strong strategic, operational and people leadership capabilities, with demonstrated judgment, accountability, as well as a commitment to integrity, inclusion and the CIB’s public interest mandate

Bilingualism in French and English, both spoken and written, is strongly preferred for this role
