Legal Counsel & Director, Transactions and Operations
Employment: Full-time
Reports to: CEO
Compensation: Competitive base salary and annual performance bonus, together with the opportunity to participate in the economics of select transactions based on performance and tenure.

Role
Serve as the CEO’s right-hand person and manage the company’s day-to-day execution. Take ownership of legal matters, transactions, corporate administration, professional coordination and property-management oversight, allowing the CEO to focus on acquisitions, negotiations, strategy and key relationships. This is a hands-on role in a lean organization.
The successful candidate will complete work directly, follow up until matters are resolved and bring the CEO clear findings, recommendations and decisions.
Responsibilities
1. Legal and Transactional Responsibilities
- Transaction Documents: Draft and revise letters of intent, offers, purchase agreements, leases, amendments, waivers, notices, NDAs, brokerage agreements, partnership agreements, joint-venture agreements and related documents. Maintain company templates and precedents.
- Contract Review: Review transaction and commercial agreements for legal and business risks and recommend revisions.
- Cross-Jurisdiction Drafting: Adapt company templates into initial drafts for transactions in other provinces and states and coordinate local counsel where required.
- Transaction Execution: Manage transactions from offer through closing. Maintain checklists and track deposits, conditions, deadlines, extensions, approvals and deliverables.
- Due Diligence: Order, coordinate and review title, zoning, building, tax, compliance, financial, environmental, engineering, insurance and other required searches and reports.
- Data Rooms: Build and maintain acquisition, financing, partnership and corporate data rooms.
- Financing Coordination: Coordinate lender and bank requirements, including corporate documents, resolutions, organizational charts, financial information, insurance, KYC materials and closing deliverables.
- Analysis and Reporting: Review due-diligence materials, including leases and third-party reports,
identify material issues and provide findings and recommendations to the CEO.
- Closing and Post-Closing: Prepare, coordinate and review closing documents, statements of adjustments and other deliverables. Complete post-closing matters and maintain final transaction records.
- Professional Coordination: Manage brokers, consultants, accountants, partners, vendors, title companies and outside counsel. Define assignments and monitor deadlines, work product and costs.
2. Corporate and Administrative Operations
- Corporate Governance: Determine and prepare required director and shareholder resolutions for acquisitions, financings, guarantees, banking arrangements, signing authorities and other corporate actions.
- Corporate Records and Compliance: Maintain minute books, ownership records, organizational charts, entity information, government accounts, registered addresses, signing authorities and authorized representatives. Coordinate annual filings, resolutions and other corporate requirements.
- Accounting Oversight: Ensure bookkeeping is current and complete. Review bank and credit-card reconciliations, intercompany balances and outstanding accounting items.
- Banking Review: Review bank and credit-card statements for unusual, unsupported or inconsistent transactions.
- Receipts, Payments and Expenses: Ensure supporting documents for material company and transaction expenditures are collected and properly recorded. Track professional fees, transaction expenses, deposits, accounts payable and other material payments. Prepare payments for approval.
- Service Providers and Deadlines: Coordinate bookkeepers, accountants, banks, insurers and other service providers. Monitor assignments, costs, filings, renewals and deadlines.
- Executive Support: Conduct research, obtain required information, schedule meetings and travel, coordinate document execution and complete administrative follow-ups for the CEO.
- Recruitment and Continuity: Recruit and onboard property managers, employees and service providers when required. Manage active matters when the CEO is travelling or unavailable.

Asset Oversight This role monitors third-party property managers and ensures follow-through; it does not perform day-to-day property management.
- Property Onboarding: Ensure property managers receive the records, access and information required to onboard newly acquired properties.
- Monthly Reporting: Obtain monthly reports and maintain a summary of vacancies, leasing activity, rent collection, arrears, repairs, capital work and material issues and review them with the CEO.
- Deadlines and Payments: Track property taxes, insurance premiums and other material property-level obligations and confirm they are completed or paid when due.
- Outstanding Matters: Maintain a schedule & an outstanding-items list for each property and follow up with property managers until completion.
- Performance and Escalation: Identify missing reports, missed deadlines, unresolved matters and inadequate performance. Report material issues to the CEO with the relevant facts and required decisions.
- Putting out fires: Become directly involved when required to address an urgent or escalated issue.
Weekly CEO Report Provide a concise weekly report covering accomplishments, decisions required, outstanding items, critical dates, active transactions, existing properties, accounting, legal and corporate matters, outside professionals and upcoming priorities.
Qualifications
- Member in good standing of the Barreau du Québec. Experience with Ontario commercial real estate transactions is an asset.
- Three to five years of commercial real estate and corporate law experience, including regularly acting as the primary lawyer responsible for drafting and negotiating complex agreements with minimal supervision.
- Substantial experience drafting and negotiating commercial real estate purchase agreements, leases, partnership agreements and joint-venture agreements.
- Experience with title and off-title searches, due diligence, financing and commercial real estate closings.
- Experience preparing corporate resolutions and maintaining corporate records.
- Ability to review bank statements, reconciliations and accounting records for missing or inconsistent information.
- Strong written and verbal communication skills in English and French.
- Strong legal and financial judgment, exceptional organization and attention to detail, and an entrepreneurial mindset.
- Ability to work independently, manage multiple deadlines and personally handle both legal and administrative work.
