Join Banyan Software as the Director, Legal specializing in Mergers & Acquisitions in Toronto, ON. Lead high-volume deal execution and contribute to our dynamic portfolio.

This is a senior role focused on lead legal due diligence and purchase agreement negotiations driving Banyan's high-volume M&A; practice. You will collaborate closely with M&A; Directors and Operating Partners to ensure transactions are completed on time and within risk parameters. With a pathway to Portfolio General Counsel, you will help shape the legal strategy for our diverse portfolio companies.

Key Responsibilities:
• Lead legal due diligence on acquisitions, identifying risks
• Draft and negotiate purchase agreements and deal documents
• Manage external counsel relationships for complex deals




• Provide day-to-day legal support for portfolio companies
• Advise leadership on operational legal inquiries

Requirements:
• 5-7 years of legal experience in M&A; transactions
• Familiarity with tech legal issues and SaaS licensing
• In-house experience at a technology company preferred
• Licensed to practice in Ontario, immediate admission preferred
• Excellent communication skills for legal concepts
