We are looking for a Legal Counsel to join our Legal team based in Calgary, Canada. By joining this role, you'll play a vital role in supporting the successful development, acquisition, construction, operation and management of METLEN's renewable energy portfolio across North America, while providing practical legal support throughout the project lifecycle.
Your role will encompass:
- Supporting the Senior Legal Counsel, Canada by providing responsive and practical legal advice across development, construction, operations and asset management activities.
- Drafting, reviewing and negotiating a broad range of agreements,
including EPC and BoP contracts, supply agreements and subcontracts, O&M; and asset management agreements, consultancy agreements, NDAs and land-related agreements.
- Supporting development and M&A; activities, including project and SPV acquisitions, legal due diligence, management of conditions precedent and transaction completion processes.
- Coordinating corporate governance and compliance matters for North American entities and project SPVs, including corporate records, resolutions, powers of attorney and signing authorities.
- Assisting with claims and dispute management through the preparation of contractual notices and the coordination of external legal counsel.
- Applying METLEN's contract management processes, maintaining contract registers and templates, and identifying and escalating deviations from standard contracting positions and approval requirements.
What you bring to the role:
- 2-5 years of post-qualification legal experience, ideally gained through a combination of a Canadian law firm and in-house legal environment.
- Canadian qualified lawyer, with membership in the relevant Law Society and a current practising certificate.
Admission to the Alberta Bar is preferred but not essential.
- Strong knowledge of the legal and regulatory framework governing renewable energy projects in Canada, including solar, BESS, wind development, land matters, permitting and grid connection.
- Proven contract drafting, review and negotiation experience across construction, procurement and commercial agreements; familiarity with EPC contracting will be considered an advantage.
- Exposure to renewable energy, construction, infrastructure, energy or data centre projects, coupled with excellent analytical, communication and stakeholder management skills.
- Fluent English and a proactive, solution-oriented approach with robust attention to detail.
