About the Role Our client is seeking a seasoned Legal Counsel with extensive experience in Mergers & Acquisitions (M&A;) to join their team in a fully remote capacity. This critical role will support the company's strategic growth initiatives by providing expert legal advice on all aspects of M&A; transactions, from initial structuring and due diligence through to closing and post-merger integration. You will collaborate closely with senior management, business development, and finance teams to ensure successful and legally sound deal execution. This is an exceptional chance for a highly motivated M&A; lawyer to work on significant transactions in a flexible, remote-first environment.
Key Responsibilities Lead and manage all legal aspects of M&A; transactions, including deal structuring, negotiation, and closing.
Conduct and oversee comprehensive legal due diligence investigations.
Draft, review, and negotiate key transaction documents, such as purchase agreements, disclosure schedules, and shareholder agreements.
Advise on regulatory compliance, antitrust, and securities law matters related to M&A; activities.
Coordinate with internal business teams,



external legal counsel, and other advisors.
Manage post-closing integration activities from a legal perspective.
Requirements Law degree (LLB or equivalent) and admission to practice law.
Minimum of 8 years of progressive experience in M&A; law, with a strong track record of managing complex transactions.
Deep understanding of M&A; legal principles, deal structures, and relevant regulations.
Proven ability to lead and execute M&A; deals efficiently and effectively.
Excellent negotiation, drafting, and analytical skills.
Must be comfortable and effective working independently in a fully remote setting.
