We are seeking an experienced Board Director with expertise in at least one key area, including leadership, finance, investment management, legal, technology, marketing, governance, resource sectors, community economic development, or First Nations economic development and cultural awareness.
Responsibilities
- Exercise due diligence, care, diligence, and skill in carrying out Board responsibilities.
- Act honestly and in good faith in the best interests of the organization.
- Attend regular Board meetings and actively participate in committees and Board activities.
- Review and understand governing legislation, bylaws, policies, and organizational objectives.
- Ensure effective internal systems, particularly financial and accounting controls.
- Maintain confidentiality and avoid conflicts of interest or any appearance of impropriety.
- Provide independent perspectives while acting in the overall interests of the organization.
- Support Board decisions once made and maintain a unified governance approach.
- Respect the separation between Board governance and staff operations.
Qualifications
- Senior-level leadership or skilled experience in at least one relevant competency area.
- Expertise in accounting/finance, investment, legal, IT, marketing, governance, resource sectors, or community/economic development is an asset.
- Previous corporate or not-for-profit Board experience is an asset.
- Board governance training is an asset.
- Knowledge of First Nations economic development and cultural awareness is an asset.
- Must meet the organization's independence requirements and disclose conflicts of interest.
