Reporting to the VP of Operations, we are looking for someone to take charge of our contract templates as well as the review, negotiation, and administration of our client and supplier contracts. This person will work closely with leadership, sales, and various teams to balanceSpiria'sbusinessobjectiveswith our risk tolerance. They will also oversee governance of our key compliance programs, notably SOC 2, in collaboration with control owners and external experts.
Unusual, complex, or high-exposure legal matters will be directed to our external partners. As Contracts & Compliance Manager at Spiria, you will: Act as a point of reference for the sales and delivery teams in assessing contractual risks, recommending negotiating positions, and proposing solutions that protectSpiriawhile helping close deals
- Advise teams on associated risks and coordinate the use of external legal counsel or experts when necessary
- Review, amend, and negotiate client contracts, supplier and subcontractor agreements, non-disclosure agreements, amendments, service agreements, purchase terms, proposals, statements of work, and other business documents
- Participate in drafting bid proposals to ensureoptimalrisk management and compliance with requirements
- Ensure the companycomplies withapplicable legal requirements and that internal records are kept up to date
- Lead and evolve Spiria's compliance programs (notably SOC 2, North American and European privacy laws, and federal government contract security programs) by coordinating control owners, documentation, evidence gathering, and remediation plans. Participatein managing disputes related to the termination of contractual agreements, payment collection, and employment matters. Relevant university degree in business administration, law, or a related field
- Minimumof 7 years of experience in contract management or a similar role
- Fluencyin French and Englishrequiredto communicate with clients and partnerslocatedoutside Quebec
- Abilityto assess risk within its business context, distinguish critical issues from acceptable ones, and formulate pragmatic recommendations that support informed decision-making
- Proficiencywith the Microsoft suite, notably Office 365, SharePoint, and Teams
- Abilityto manage multiple files simultaneously and work effectively, both independently and as part of a team
- The following will be considered assets: experience in privacy protection / compliance (Law 25); federal government contract security program
