Role Description The Corporate Legal Clerk is a full-time, hybrid role based in Canada, supporting lawyers with corporate matters relating to the various not-for-profit corporate acts and commercial matters. Day-to-day responsibilities include preparing and organizing corporate legal documents such as resolutions, minutes, share registers, and incorporation or amendment filings. The clerk will maintain corporate records and databases, track filing deadlines, and follow up on outstanding information or documents with clients and internal team members. The role involves assisting with due diligence, conducting basic legal and corporate searches, and ensuring accurate filing with relevant government and regulatory authorities. The clerk will also support matter opening and closing processes, manage document templates,
and contribute to efficient workflow within the corporate practice group.
Qualifications
- Strong understanding of Law and corporate legal processes, with experience in both the Canada and the Ontario not-for-profit corporation acts.
- Demonstrated Analytical Skills for reviewing documents, identifying discrepancies, and supporting due diligence and corporate compliance.
- Ability to perform consistent follow up with clients, colleagues, and authorities to obtain information, complete filings, and keep matters on schedule.
- Effective Communication skills, including clear written and verbal communication and professional client interaction.
- Proficiency in legal document preparation, including drafting and formatting corporate resolutions, agreements, and filings.
- Post-secondary diploma or certificate in legal studies, law clerk, or related field; prior experience as a corporate law clerk or legal assistant is an asset.
- Strong organizational skills, attention to detail, and ability to manage multiple files and deadlines in a fast-paced environment.
- Comfort with legal and office software, including document management systems and online government filing platforms.
