About the Role

Our client, a rapidly expanding conglomerate, is seeking an experienced In-House Legal Counsel with a specialization in Mergers & Acquisitions (M&A;) to join their team in Kimberley. This critical role will involve managing and executing M&A; transactions, from initial strategy and due diligence through to closing and post-merger integration. You will work closely with the executive team, finance department, and external advisors to ensure successful deal completion and compliance with all legal and regulatory requirements. This is a high-impact role for a seasoned M&A; lawyer seeking to drive strategic growth.

Key Responsibilities

- Lead and manage all legal aspects of M&A; transactions, including structuring, negotiation, and execution of deal documentation.
- Conduct comprehensive legal due diligence on target companies and assets.
- Draft, review, and negotiate term sheets, letters of intent, share purchase agreements, and asset purchase agreements.
- Advise on corporate governance, regulatory approvals, and antitrust compliance related to M&A; activities.
- Coordinate with external legal counsel, investment bankers, and other advisors involved in transactions.




- Provide post-closing legal support, including integration planning and transition management.

Requirements

- Admitted attorney with a minimum of 7 years of experience, with a significant portion dedicated to M&A; transactions.
- Proven expertise in deal structuring, negotiation, and drafting M&A; agreements.
- Strong understanding of corporate law, securities law, and relevant regulatory frameworks.
- Excellent analytical, problem-solving, and project management skills.
- Ability to manage complex, multi-jurisdictional transactions effectively.
- Demonstrated ability to work collaboratively and advise senior management on strategic legal matters.
