Corporate Law Clerk for a mid-size law firm client in Toronto.
Job Type: Permanent Full-Time.
Regular Work Hours: 7.0 hours per day not including 1 hour lunch break, to be worked during regular business hours, Monday to Friday (35 work hours per week).
Work Location: Hybrid - combination of 2 days remote-based and 3 days onsite at client's Toronto office. Assist with due diligence for commercial transactions, financings, mergers and acquisitions, and corporate reorganizations. Support corporate transactions, including asset and share purchases, mergers, acquisitions, rollovers, and internal reorganizations.
Prepare, review, and file corporate documentation, including incorporations, amalgamations, dissolutions, reorganizations, restructurings, and transactional matters. Prepare first drafts of short-form and long-form amalgamations, including Section 51, 85, and 86 reorganizations and related documentation. Draft authorized share capital, incorporations, dissolutions, organizational documents, and by-laws.
Manage corporate transactions including continuances (in and out of province), revivals, reinstatements, amendments, restructurings, and corporate reorganizations. Draft resolutions, directors’ and shareholders’ documents, and register securities. Maintain minute books and corporate records (physical and electronic).
Conduct corporate searches and filings (e.g., Ontario and federal registries). Track key corporate deadlines and ensure regulatory compliance. Additional corporate law clerk responsibilities as required.
Education: Law Clerk Diploma or equivalent combination of education and work experience.
Preferred Work Experience: At least 4+ years of experience supporting a corporate practice.
Preferred Sector Experience: Law Firm experience required.
Technical and Language Skills Requirements: Advanced proficiency with Microsoft Office - Word, Excel, PowerPoint and Outlook (may be tested). Fast and accurate typing skills and attention to detail (will be tested). Proficiency in Adobe Acrobat (may be tested). Sound knowledge of corporate legal terminology (may be tested). Competence in using document management software.
Proficient
English communication skills, both written and verbal, including strong business writing skills and excellent spelling, grammar, proofreading and syntax. Sound understanding of Canadian contracts law and related legal terminology, procedures and protocols. Focused and able to work effectively with minimal direction and supervision, to prioritize tasks effectively, and to manage volume targets and due dates.
Proven ability to professionally handle confidential information and exercise valuable judgement in the interpretation and application of instructions and organization policy. Ability to work both remotely and onsite, abiding by organization health and safety policies. Ability to declare personal Non-Conflict of Interest in execution of position responsibilities.
