The Securities Clerk provides administrative and legal support to the firm's deal team collaborating closely with Legal and Operations to ensure the accurate and timely preparation of agreements and ancillary documentation and the seamless execution of deal-related and post-deal administrative processes, contributing to the overall efficiency and compliance of the firm’s operations. This position also plays a key role in overseeing the firm’s corporate governance activities. Reporting to the CCO of PearTree Securities, the Senior Securities Clerk will provide administrative and legal support with a focus on flow through share offering documentation and settlement including: Assisting in the preparation and review of financing documents (including share purchase agreements, subscription agreements, unit certificates, trade confirmations) and post-closing filings (e.g.
Prepare registration and delivery schedules for treasury directions. Book trades through the Nexen system and coordinate with counterparties for settlement. Coordinating with clients / counterparties to gather signature pages, diligence materials, and manage filing logistics.
Liaising with external professionals,
including regulatory bodies, accountants, transfer agents, brokers, and legal counsel to facilitate information exchange and instructions. Maintaining corporate minute books, shareholder ledgers, and other corporate records. Drafting and compiling corporate governance materials such as board resolutions, and annual meeting documents.
Complete other duties and special projects as may be assigned. A Law Clerk Diploma or equivalent legal education. Minimum 3 years experience in a transactional securities legal role working within the financial services industry.
Proficiency in SEDAR+, Nexen, Ecore, Salesforce, CRM and provincial corporate registry websites. Solid understanding of Canadian securities and corporate law (including the OBCA). Advanced skills in Microsoft Word and Excel.
