About the Role Our client, a rapidly expanding conglomerate, is seeking an experienced In-House Legal Counsel with a specialization in Mergers & Acquisitions (M&A;) to join their team in Kimberley. This critical role will involve managing and executing M&A; transactions, from initial strategy and due diligence through to closing and post-merger integration. You will work closely with the executive team, finance department, and external advisors to ensure successful deal completion and compliance with all legal and regulatory requirements. This is a high-impact role for a seasoned M&A; lawyer seeking to drive strategic growth.
Key Responsibilities Lead and manage all legal aspects of M&A; transactions, including structuring, negotiation, and execution of deal documentation.
Conduct comprehensive legal due diligence on target companies and assets.
Draft, review, and negotiate term sheets, letters of intent, share purchase agreements, and asset purchase agreements.
Advise on corporate governance, regulatory approvals, and antitrust compliance related to M&A; activities.
Coordinate with external legal counsel, investment bankers, and other advisors involved in transactions.




Provide post-closing legal support, including integration planning and transition management.
Requirements Admitted attorney with a minimum of 7 years of experience, with a significant portion dedicated to M&A; transactions.
Proven expertise in deal structuring, negotiation, and drafting M&A; agreements.
Strong understanding of corporate law, securities law, and relevant regulatory frameworks.
Excellent analytical, problem-solving, and project management skills.
Ability to manage complex, multi-jurisdictional transactions effectively.
Demonstrated ability to work collaboratively and advise senior management on strategic legal matters.
