Senior IT Contract Manager

Location: Toronto, ON

Duration: 6 - Month Contract

Job Summary

We are seeking a Senior IT Contract Manager to lead the management, negotiation, and governance of complex technology vendor contracts while supporting third-party risk and regulatory compliance objectives.

This role combines expertise in IT contracting, vendor risk management, cybersecurity, data protection, and regulatory compliance. The successful candidate will work closely with Legal, Procurement, Technology, Risk, and business stakeholders to manage contractual risk, strengthen vendor governance, and drive improvements across the contracting lifecycle.

Core Responsibilities

- Lead the review, negotiation, execution, and ongoing management of complex IT vendor contracts.
- Negotiate and manage agreements covering SaaS, cloud services, software licensing, professional services, cybersecurity, data protection, and custodial services.
- Partner with Legal and subject matter experts to incorporate appropriate security, privacy, regulatory, audit, business continuity, and data protection provisions.
- Advise business stakeholders on contractual risk, vendor risk, regulatory requirements, sourcing considerations, and commercial implications.
- Support third-party risk assessments, contract compliance, issue management, escalation, and governance activities.
- Collaborate cross-functionally with Legal, Procurement, Risk, Technology, Information Security, and business teams.
- Prepare contract status reports, risk dashboards, management reporting, and analysis to support informed decision-making.
- Provide guidance and coaching to Contract Managers and business partners on IT contracting standards and best practices.
- Identify and implement improvements to contract templates, workflows, controls, processes, and vendor risk governance.
- Monitor evolving regulatory and industry requirements and assess their potential impact on vendor contracts and third-party relationships.





Core Technical Skills

Required

- 7+ years of progressive experience in IT contracting, technology procurement, third-party risk management, vendor governance, or a related discipline.
- Strong experience reviewing, drafting, negotiating, and managing complex IT/vendor agreements.
- Experience with contracts involving:
- SaaS and cloud services
- Software licensing
- IT professional services
- Cybersecurity
- Data protection and privacy
- Custodial/technology services
- Strong understanding of contractual risk, third-party/vendor risk, regulatory compliance, and information security requirements.
- Familiarity with applicable regulatory and privacy requirements, including OSFI B-10, OCC guidance, PIPEDA, GLBA, GDPR, and CCPA.
- Experience working across multiple business units and managing complex, high-value or high-risk negotiations.
- Strong proficiency with Microsoft Office and Power BI.
- Experience with contract, procurement, or risk management platforms such as Archer, Ivalua, or ProcessUnity.
- Bachelor's degree in Business, Law, Information Technology, Procurement, Risk Management, or a related discipline.

Preferred

- Experience within financial services, insurance, wealth management, capital markets, or technology.
- Knowledge of cybersecurity and risk frameworks, including NIST 800-53, NIST CSF, and ISO 27001.
- Experience conducting or overseeing third-party/vendor information security assessments.
- Master's degree, MBA, or Law degree.
- Experience supporting enterprise third-party risk management or vendor governance programs.

Nice to Have

- Experience developing or enhancing IT contract templates, clause libraries, playbooks, and negotiation standards.




- Experience implementing contract lifecycle management (CLM) or third-party risk management process improvements.
- Experience translating cybersecurity, privacy, and regulatory requirements into contractual language and vendor obligations.
- Experience operating in a globally distributed or highly regulated environment.
