CANON MEDICAL SYSTEMS CANADA LIMITED (“Company”) is a leading worldwide provider of high-quality diagnostic imaging systems and comprehensive medical solutions looking for a highly capable Legal Counsel to join our expanding team. This role will be based out of our Headquarters in Markham, Ontario.
As a key member of the Company’s Legal Team, the Legal Counsel will provide timely, practical and commercially focused legal advice to support the Company’s business operations. Reporting to the General Counsel and Head of Compliance, you will work closely with the Company’s business groups to support their daily and long-term objectives, manage legal risk, provide strategic support, and ensure compliance with applicable laws and regulations.
Major Responsibilities
- Review, negotiate and draft various types of corporate/commercial agreements;
- Support the Company’s RFP procurement opportunities, including reviewing and commenting on RFP template agreements and advising various internal stakeholders on the Company’s responses for bid submissions;
- Advise on regulatory, compliance and risk management matters applicable to the Company’s business, which may include product safety, technology, privacy, and other regulatory requirements;
- Monitor changes in legislation and regulatory requirements, and advise the business on the application of such laws and regulations;
- Develop and implement compliance programs, corporate policies, and employee training, as well as advise on the application of such programs and policies;
- Support strategic projects and corporate initiatives,
including internal process improvements, contract management, and other matters assigned by the General Counsel;
- Assist with internal and external compliance audits and the renewal of the Company’s insurance portfolio;
- Additional duties, as required by the General Counsel;
- Adhere at all times to all CMSCA policies, including environmental, health and safety, and confidentiality policies in their entirety.
Position Requirements
- LL.B. or J.D. and membership in positive standing with the Law Society of Ontario;
- A minimum of 5 years of relevant post-call experience in corporate and commercial law, gained in-house, in private practice, or a combination of both;
- Strong experience drafting, reviewing and negotiating commercial agreements;
- Excellent analytical skills and business judgement, with the ability to provide pracical, solutions-oriented advice that balances legal risk with business objectives;
- Highly organized, self-motivated, and able to manage multiple priorities and work independently in a fast-paced environment;
- Strong communication skills and the ability to build collaborative relationships within the business and with customers;
- Experience in healthcare and/or medical devices, advising on A.I., cybersecurity and/or privacy and data protection matters would be an asset.
- French language proficiency is also an asset;
- Ability to work and travel (approximately 30%) at very irregular times.
