Role Description The Fractional CFO will work closely with the founder and leadership team of Apex Modular Construction, with a primary focus on fundraising strategy, investor sourcing, and securing Apex's initial financing . This part-time, hybrid role is based in Toronto, ON, with flexibility for in-office collaboration and remote work.

The CFO will lead the development and execution of Apex's fundraising strategy, identify and engage potential investors, build and manage the investor pipeline, and support investor meetings, due diligence, and financing negotiations. The role will also involve developing financial models, projections, valuation scenarios, and use-of-funds plans to support investor discussions and strategic decision-making.

At this early stage, the CFO will work closely with the founder to identify the right financing opportunities, develop relationships with angel investors, venture capital firms, strategic investors, and other potential sources of capital, and lead Apex through its initial fundraising process.

Compensation will include an equity share in Apex at the current stage. Upon successful completion of the financing round, the CFO will transition to a paid position with Apex,



with compensation agreed upon in advance based on the scope of responsibilities and the company's post-financing stage. The equity participation will provide the CFO with the opportunity to share directly in the long-term growth and success of Apex.

Qualifications & Experience

- Proven experience in early-stage fundraising , with a track record of helping startups raise capital from angel investors, venture capital firms, strategic investors, family offices, or other sources of private capital.
- Strong investor network and investor sourcing capabilities , with the ability to identify, approach, qualify, and build relationships with potential investors.
- Strong understanding of startup financing, valuation, equity structures, SAFE agreements, dilution, cap tables, and investment terms .
- Strong financial modeling skills, including the ability to develop financial projections, fundraising models, valuation scenarios, cash-flow forecasts, and use-of-funds plans .
- Strong investor relations and communication skills, with the ability to present Apex's financial opportunity clearly to different types of investors.
- Experience in a senior finance, investment, venture capital, investment banking, fundraising, or strategic finance role, preferably within startups, technology, construction, real estate, manufacturing, or related industries .
- Entrepreneurial mindset and ability to work hands-on in a fast-moving early-stage company with limited resources.
- Solid ability to work directly with the founder and take ownership of the fundraising process.
- Experience with Canadian corporate finance, accounting, taxation, and regulatory requirements is an asset.
- CPA, CFA, MBA, or relevant professional designation is an asset but not required .
- Bachelor's degree in Finance, Accounting, Business, Economics, or a related field is an asset.
- Above all, we are looking for someone who can help Apex raise capital . Demonstrated fundraising results, investor relationships, strategic financial thinking, and negotiation skills will be valued more highly than traditional corporate CFO experience.
