LaBarge Weinstein is seeking a Corporate / Transactional Associate Lawyer (2019–2021 call) to join our firm. This is a unique opportunity for a lawyer with approximately 4–6 years of experience to take on a high level of responsibility in a collaborative and client-focused environment. The successful candidate will work on a broad range of financings and M&A; transactions and general corporate matters , with significant client exposure and involvement in all stages of transactions.
Our work is primarily focused on high growth, venture capital backed companies and their investors.
This role is ideal for a lawyer who thrives in a hands-on boutique setting, enjoys working closely with clients, and is looking for the opportunity to take ownership of meaningful transactions while continuing to grow their practice. Key Responsibilities:
Work closely with other team members on a variety of financing and transaction documents such as purchase agreements, shareholder agreements, and related corporate documents.
Manage key aspects of transactions, including due diligence, disclosure schedules, and closing process coordination
Communicate directly with clients, opposing counsel, and other advisors throughout transactions
Take ownership of deal workstreams with increasing autonomy as experience allows
Work collaboratively with tax, accounting, and other professional advisors as needed
Assist with general corporate maintenance and ongoing client advisory work
Support and collaborate on business development and client relationship management Qualifications:
4–6 years of post-call experience (2019–2021 call) in a corporate transaction focused practice with experience with venture capital backed companies and investors
Strong experience in financing and M&A; transactions and corporate work
Member in good standing with the Law Society of Ontario or British Columbia
Strong drafting, negotiation, and analytical skills
Ability to manage transactions with a high degree of autonomy and attention to detail
Strong client-service orientation and professional judgment
Excellent organizational skills and ability to manage multiple priorities in a fast-paced workplace with competing deadlines
Comfortable working directly with clients and taking ownership of files
Ability to take initiative, work independently, and excel in a cooperative team environment
Strong proficiency in using technology, including AI-powered and generative AI tools with a willingness to learn and adapt to changing priorities and circumstances This posting is for an upcoming vacancy. While the preferred location for this role is our Ottawa office, we are open to candidates based in Toronto or Vancouver, where we also have offices. We are committed to offering competitive compensation.
The expected annual base salary for this role is $150,000–$190,000 . Placement within this range will be based on a number of factors, including experience, qualifications, demonstrated skills, and work location. This position is also eligible for a discretionary performance bonus and a comprehensive benefits package.
