About The Role
We are looking for a seasoned M&A; Advisor to lead sell-side and buy-side mandates across the lower-middle market. You will work directly with founders, private equity groups, and family offices to structure, market, and close transactions ranging from $1M to $100M in enterprise value. This role combines deep financial acumen with relationship management and creative deal structuring.
Responsibilities
- Originate and manage sell-side and buy-side M&A; engagements end-to-end
- Prepare confidential information memoranda, teasers, and financial models
- Conduct buyer outreach and manage data rooms
- Negotiate LOIs, purchase agreements, and deal terms on behalf of clients
- Coordinate due diligence processes with legal, accounting, and tax advisors
- Mentor junior analysts and collaborate with AI deal-support staff
- Contribute to Napkin's proprietary deal-matching algorithms through structured feedback
Requirements
- 5+ years of M&A; advisory, investment banking,
or corporate development experience
- Demonstrated track record of closed transactions
- Robust financial modeling and valuation skills (DCF, comps, precedent transactions)
- Excellent written and verbal communication
- Series 79 / Series 63 license or equivalent (or willingness to obtain)
- Comfort working in a remote-first, AI-augmented environment
Nice to Have
- +CFA, CPA, or MBA designation
- +Experience in SaaS, healthcare, or professional services verticals
- +Existing network of PE firms, family offices, or serial acquirers
- +Multilingual capabilities
Compensation Base salary of $90,000–$140,000 CAD plus success-fee participation on closed transactions. OTE for a productive advisor is $250,000–$500,000+ in the first two years. Equity consideration for senior hires.
