Position Overview This is a commercial deal architecture role, not a service architecture, procurement, legal, or finance role.The Commercial Architect & Negotiation Specialist will work alongside specialists in those disciplines and will be responsible for integrating service, operational, financial, contractual, and sourcing considerations into the overall commercial structure and negotiation strategy for a large, complex IT services environment.Direct, hands-on experience designing and negotiating the commercial structure of large, complex IT services, managed services, or outsourcing transactions is required, including:Service packagingPricing driversVolume and demand mechanismsCommercial risk allocationPerformance and incentive structuresTransition arrangementsNegotiation trade-offsWe are looking for someone who can take:"This is the future service model we want"and turn it into:"This is how we structure a deal that gets us there."The breadth of expertise required may be best delivered by either:A single highly experienced Commercial Architect & Negotiation Specialist; orA team of complementary resources led by a senior Commercial Architect & Negotiation Specialist.Where a team is proposed:One resource must be identified as the Lead Deal Architect, with overall accountability for quality, integration, and consistency of work.Individual resources may provide specialized expertise.The proposed allocation, role, and experience of each resource should be clearly identified.Internal coordination or duplication of effort resulting from the use of multiple resources should not be billable unless expressly approved.The blended rate of the proposed team must remain within established budget parameters.
Scope of Services Commercial ArchitectureTranslate the future service and operating model into an integrated commercial structure.Assess options for service packaging, bundling, disaggregation, and commercial separation.Develop commercial constructs appropriate to services being retained, transitioned, outsourced, or otherwise changed.Identify commercial interdependencies between services, providers,
and transition activities.Advise on commercial governance mechanisms to support effective multi-provider delivery.Support development of a commercial structure that preserves future flexibility and avoids unnecessary lock-in or stranded cost exposure.Pricing and Economic DriversAdvise on appropriate pricing mechanisms, including fixed, unit-based, consumption-based, volume-based, outcome-based, and hybrid structures.Develop approaches for managing changing volumes, demand, minimum commitments, economies of scale, and service reductions.Assess commercial implications of service opt-outs, insourcing, provider changes, and future service transitions.Identify mechanisms for productivity, benchmarking, continuous improvement, and cost reduction.Work with finance resources to ensure proposed commercial constructs can be appropriately modeled and evaluated.Performance and Incentive StructuresAdvise on the commercial design of performance standards, service levels, incentives, service credits, and other performance mechanisms.Align financial mechanisms with desired service outcomes and vendor behaviors.Identify potential unintended commercial incentives or risks created by proposed performance structures.Commercial Risk and Contract StructureIdentify material commercial risks and recommend appropriate allocation between the parties.Advise on commercial mechanisms related to transition, transformation, demand, volumes, third-party costs, termination, exit, and service changes.Work with legal resources to translate agreed commercial positions into appropriate contractual mechanisms.Negotiation Strategy and SupportDevelop commercial negotiation positions, objectives, priorities, trade-offs, and fallback positions.Assess vendor commercial proposals and identify financial, operational,
and strategic implications.Support development of negotiation scenarios and concession strategies.Participate in commercial negotiations as required.Advise on the commercial implications of proposed compromises and negotiated positions.Maintain an integrated view of commercial decisions and their implications across the overall transaction.
Required Experience The proposed Commercial Architect & Negotiation Specialist must demonstrate direct responsibility for the commercial structuring and negotiation of at least two large-scale IT managed services, IT outsourcing, and/or multi-service technology services transactions.Experience must include the design and negotiation of the commercial model for ongoing service delivery and should not be primarily limited to software, licensing, SaaS, cloud subscription, hardware, or other technology acquisition agreements.
