Role Description

Mann Law is seeking an experienced Associate Lawyer to join our growing transactional practice, with a primary focus on commercial and residential real estate, commercial lending, and corporate and business law.

The successful candidate will be comfortable managing files independently while working collaboratively with the firm’s lawyers and support team. This is an excellent opportunity for a lawyer who enjoys a broad transactional practice, direct client contact, and the opportunity to take ownership of matters from initial instructions through completion.

The ideal candidate will have strong technical skills, sound judgment, excellent communication abilities, and a practical, business-oriented approach to legal work.

Key Responsibilities

Real Estate

· Independently manage commercial and residential real estate transactions from opening through closing.

· Act for purchasers, vendors, lenders, borrowers, developers, investors, landlords, tenants, and corporate clients as appropriate.

· Conduct and review title searches and identify and resolve title, registration, and other real estate issues.

· Prepare and review agreements of purchase and sale, transfers, deeds, statements of adjustments, requisitions, closing documents, and related documentation.

· Handle real estate financing, refinancing, mortgages, discharges, and related security documentation.

· Review and address zoning, municipal, title, survey, environmental, and other due diligence matters.

· Draft, review, and negotiate commercial and residential leases and related documentation.

· Coordinate closings with clients, opposing counsel, lenders, financial institutions, title insurers, realtors, and other professionals.

· Ensure transactions are completed accurately, efficiently, and within required timelines.

Commercial Lending & Financing





· Act for lenders and/or borrowers on secured and unsecured commercial financing transactions.

· Prepare, review, and negotiate loan agreements, commitment letters, guarantees, postponements, assignments, general security agreements, and other financing documentation.

· Conduct and coordinate due diligence relating to borrowers, guarantors, corporate entities, assets, title, and security interests.

· Complete and coordinate PPSA registrations, searches, discharges, and related security matters.

· Work with banks, credit unions, private lenders, corporations, investors, and other financial institutions.

· Coordinate financing transactions through closing and ensure all required conditions and security documentation are satisfied.

· Identify potential legal and commercial risks and provide practical advice to clients and lending institutions.

Corporate & Business Law

· Advise corporations, shareholders, entrepreneurs, investors, and other business clients on a broad range of corporate and commercial matters.

· Assist with incorporations, reorganizations, corporate maintenance, resolutions, share issuances and transfers, and other corporate transactions.

· Draft and review shareholder agreements, partnership agreements, purchase and sale agreements, commercial contracts, and other business documentation.

· Assist clients with business acquisitions, dispositions, corporate transactions, and related due diligence.

· Provide practical legal advice that takes into account both the legal and commercial objectives of the client.

· Work collaboratively with the firm’s lawyers on matters involving real estate, financing, corporate structuring, and business transactions.

Client Service & Practice Development

· Develop and maintain strong, long-term relationships with clients and professional contacts.

· Provide timely, practical, and commercially focused legal advice.

· Communicate clearly with clients and keep them informed regarding the status of their matters.

· Manage multiple files and competing deadlines while maintaining a high standard of accuracy and service.

· Take ownership of assigned matters and proactively identify issues before they become problems.





· Contribute to the continued growth and development of the firm’s corporate, commercial, lending, and real estate practices.

· Participate in appropriate business development, networking, continuing legal education, and professional development activities.

· Work collaboratively with partners, associates, clerks, and other members of the firm’s team.

Qualifications & Experience

· Member in good standing of the Law Society of Ontario.

· Ideally 3+ years of post-call experience, with meaningful experience in commercial and/or residential real estate, commercial lending, and corporate/commercial law.

· Demonstrated ability to manage real estate transactions independently with minimal supervision.

· Experience acting for lenders, borrowers, financial institutions, corporations, developers, investors, or other commercial clients is strongly preferred.

· Experience with secured lending transactions and PPSA matters is an asset.

· Strong working knowledge of Teraview and electronic registration processes.

· Experience with PPSA, e-reg/electronic registration systems, and conveyancing software is preferred.

· Strong drafting, analytical, organizational, and negotiation skills.

· Excellent written and verbal communication skills.

· Strong attention to detail and ability to identify and resolve issues efficiently.

· Ability to manage a significant volume of work and prioritize competing deadlines.

· Sound judgment and the ability to provide practical, commercially focused legal advice.

· Strong interpersonal skills and a skilled, client-focused approach.

· Ability to work independently while contributing positively to a collaborative team environment.

· Demonstrated initiative, reliability, and commitment to professional excellence.
