Role Description The In-House Counsel is a full-time hybrid or remote role based in Vancouver, BC, with flexibility for some work from home. This role is responsible for providing legal advice and support on a broad range of corporate, commercial, and regulatory matters related to acquisitions and operations in the medical aesthetics and wellness sector. Day-to-day responsibilities include drafting, reviewing, and negotiating contracts; supporting transaction structuring and due diligence; and advising on corporate governance and compliance.

The In-House Counsel will monitor relevant healthcare, privacy, and employment laws, develop policies and internal controls,



and manage risk across the portfolio. The role also involves collaborating with founders and internal teams, coordinating with external counsel when needed, and preparing clear, practical guidance and documentation for business stakeholders.

Qualifications

- Licensed lawyer in good standing with a provincial law society (preferably Ontario or BC), with a JD or LLB and several years of post-call experience in corporate/commercial law.
- Experience in contract drafting, review, and negotiation (e.g., acquisition agreements, service agreements, shareholder agreements, NDAs) and comfort working on transaction timelines.
- Solid analytical, research, and problem-solving abilities, with the capacity to translate complex legal issues into practical, business-oriented guidance.
- Excellent written and verbal communication skills, with the ability to collaborate effectively with founders, executives, and cross-functional teams in a hybrid work environment.
- High level of integrity, sound judgment, and attention to detail, with the ability to manage multiple priorities in a fast-paced, entrepreneurial setting.
- Experience in mergers and acquisitions or private equity; exposure to employment and regulatory investigations is beneficial.
