Job Overview:
We are seeking a detail-oriented and experienced Corporate Paralegal to join our legal team. This role supports our legal department across a broad range of corporate and commercial matters in both Canadian, U.S. and other jurisdictions. Key Responsibilities
Corporate & Transactional Support
- Assist with the preparation, review, and filing of corporate documents including articles of incorporation, bylaws, operating agreements, shareholder agreements, resolutions and other corporate documentation
- Maintain corporate minute books and registers for Canadian and US entities
- Support mergers, acquisitions, and corporate restructurings by organizing due diligence materials, and coordinating with counterparties
- Prepare and file annual returns and other statutory filings with federal and provincial/state agencies (e.g., Corporations Canada, U.S. state Secretary of State offices, etc.)
Contract & Document Management
- Draft, review, and manage NDAs, vendor agreements, and standard commercial contracts
- Maintain contract management systems and track key deadlines and renewal dates
- Conduct legal research and summarize findings on corporate governance, regulatory compliance, and transactional matters
Compliance & Regulatory
- Monitor and support compliance with applicable Canadian (federal and provincial) and US (federal and state) corporate regulations
- Assist with securities filings,
annual maintenance reports and regulatory correspondence as required
- Coordinate with external counsel in multiple jurisdictions
Administrative & Team Support
- Manage files, organize legal databases, and maintain accurate records
- Prepare correspondence, legal memos, and presentation materials
- Liaise with clients, government agencies, and third-party service providers
Qualifications Education & Certification
- Paralegal diploma or certificate from an accredited institution
- In Ontario: License the Law Society of Ontario (LSO) is strongly preferred
- P1 License or equivalent (required)
- In the US: Paralegal certification (NALA, NFPA, or state-equivalent) is an asset
Experience
- 3+ years of experience as a corporate paralegal or law clerk in a law firm or in-house legal department; experience in both a law firm and in-house legal department is an asset
- Experience working across Canadian and US jurisdictions is strongly preferred
Skills & Competencies
- Strong knowledge of corporate law, governance practices, and transactional processes in Canada and/or the US
- Proficiency with legal research tools (e.g., Westlaw, LexisNexis, CanLII)
- Experience with corporate database software (e.g., Diligent Entities, EnAct, or similar)
- Excellent written and verbal communication skills in English; French is an asset for Canadian roles
- High attention to detail, strong organizational skills, and the ability to manage multiple files simultaneously
- Proficiency in Microsoft Office Suite (Word, Excel, Outlook) and Adobe Acrobat
