About the Company
Our client, a leading national law firm with a highly regarded corporate practice, is seeking a Senior Corporate Law Clerk to join their team.
This role only requires 2 days in office.
Responsibilities
- Draft and prepare corporate legal documents, including closing agendas, agreements, resolutions, and ancillary documents related to complex transactions.
- Support sophisticated corporate and tax-driven reorganizations, share and asset transactions, acquisitions, mergers, amalgamations, plans of arrangement, amendments, dissolutions, and continuations.
- Review and draft multiple-class share provisions and related corporate documentation.
- Conduct complex minute book reviews and prepare detailed review memoranda and documentation required to address and correct deficiencies.
- Prepare annual corporate maintenance documents, including ISC/transparency register filings for Ontario, federal, and extra-provincial entities.
- Complete required provincial and federal corporate filings.
- Draft and maintain documentation relating to federal and provincial not-for-profit corporations.
- Provide advanced corporate support to lawyers in connection with strategic planning and complex transactions.
- Communicate directly with clients at the direction of lawyers and independently manage corporate files from inception through completion.
- Act as a resource to other law clerks and students on complex corporate matters.
- Share knowledge, best practices, and technical expertise across the corporate team.
- Assist with and deliver internal continuing legal education sessions on general corporate and transactional matters.
- Provide guidance and mentorship to junior team members as required.
Requirements
- 6+ years of corporate law clerk experience
- Law Clerk Diploma from an accredited Ontario college or completion of the Institute of Law Clerks of Ontario certification.
- Strong experience with complex corporate transactions, reorganizations, and corporate maintenance.
- Advanced knowledge of Ontario and federal corporate procedures and filings.
- Experience working with corporate databases and electronic minute book systems.
- Exceptional attention to detail and the ability to manage complex matters with a high degree of accuracy.
- Professionalism and confidence when interacting with lawyers, clients, colleagues, and individuals at all levels of an organization.
- Ability to prioritize and manage multiple matters in a fast-paced, deadline-driven environment.
- Strong independent judgment and the ability to work autonomously while contributing effectively as part of a team.
- Excellent organizational, verbal, and written communication skills.
- A collaborative mindset with a willingness to mentor colleagues and share knowledge.
Compensation
- Salary up to $150,000 per year, commensurate with experience.
