Solstice Law is a boutique tax firm focused on crypto — one of the few practices in Canada doing this work seriously. We're small, which means you'll own whole files instead of fragments.
The firm specializes in domestic and offshore tax planning, cryptocurrency taxation, and tax litigation, advising on income tax, excise tax, provincial tax, and international tax matters. Our clients include Canadian and offshore token issuers, protocol teams, funds, and high-net-worth individuals.
The role
Full-time Tax Associate. Primarily remote, with certain days in office to be discussed. Reports directly to the principal.
Solstice Law is seeking an experienced Tax Associate on a full-time basis to support files involving:
- Corporate and international tax planning; and
- Tax litigation, CRA audits, objections, and appeals.
The candidate will work collaboratively with lead counsel while independently owning defined workstreams. We're open to candidates stronger in one area than the other.
Scope of work
Tax planning and corporate
- Advising on and researching relevant tax planning considerations for domestic and international tax matters
- Reviewing and revising documents from international counsel for Canadian tax considerations (including SAFTs, SAFEs, token grants, share distribution agreements, and similar corporate documents)
- Drafting step memoranda and corporate documents to implement client transactions (tax-free rollovers, share exchanges, subscriptions, incorporations, dissolutions, reorganizations)
- Tax planning for single and multi-entity structures with Holdcos, Opcos, trusts, and offshore entities (e.g. Delaware, BVI, Cayman Islands, Panama, UAE)
- Tax memorandum drafting and support, including analysis on cryptocurrency-specific tax concerns
Tax litigation and CRA disputes
- Research and drafting tax audit responses
- Reviewing and analyzing the tax considerations of cryptocurrency transactions and related activity
- Corresponding with CRA representatives, clients and third-party specialists (accountants, valuators, and external counsel)
- Conducting CRA audit and litigation risk assessments with the client and third-party specialists
- Research and drafting for tax litigation pleadings (notice of objection, notice of appeal, discovery documents)
- Reviewing complex financial records, including crypto transaction history from centralized exchanges, DeFi protocols, and related activity
Required
- Licensed and in good standing with the Law Society of Ontario, or eligible for call or transfer before your start date
- 2 years of experience in tax planning, corporate transactions and/or tax litigation
- Experience with domestic and international tax planning and/or experience with CRA audits, appeals, and litigation
- Strong tax research skills and fluency with TaxNet Pro and Blue J
- Disciplined file and deadline management
- Strong analytical and problem-solving skills, with an emphasis on complex tax issues
- Exceptional written and verbal communication skills to communicate legal advice clearly
- Comfort working directly with clients, including in high-stakes audit situations
- Ability to work effectively in a collaborative team environment
Assets
- Experience in tax law issues within blockchain, cryptocurrency, or Web3 sectors
- Experience using AI tools in a legal workflow, with sound judgment about what can and can't be put into them given client confidentiality obligations
- Strong Excel or data-handling skills for large transaction sets
- In-Depth Tax Program or Osgoode LLM in Taxation, completed or in progress
- Experience working with offshore counsel and cross-border structures
What we offer
- Salary of $85,000 to $110,000, commensurate with experience
- LSO fees and LawPRO covered
- Billable target to be discussed
- Origination bonus: a percentage of collected fees on new clients you bring to the firm, to be discussed
- Primarily remote, with in-office days by arrangement
