Serving clients since 1922, we are proud to be the firm that businesses trust with their most complex legal matters.We are currently recruiting for the following role in our Toronto office:#LI-HybridEssential Functions:Determine and draft various corporate legal documents, including closing agendas, agreements, and ancillary documents related to complex transactions such as corporate and tax-driven reorganizations, share and asset transactions, acquisitions, mergers, amalgamations, plans of arrangement, amendments, dissolutions, and continuationsReview and/or draft multiple class share provisionsConduct complex minute book reviews and prepare minute book review memos and documents to correct minute book deficienciesAssist with the preparation of annual maintenance documents, including ISC/transparency register filings for Ontario, federal,
and extra-provincial entitiesProvide advanced support to lawyers in connection with strategic planning and review for large corporate transactionsComplete required provincial and federal corporate filingsDraft documents relating to federal and provincial not-for-profit corporationsCommunicate directly with clients at the direction of lawyers and independently manage filesAct as a resource to other clerks and students on complex corporate mattersShare knowledge and best practices across the corporate teamProvide internal CLE (continuing legal education) on general corporate mattersQualifications:A minimum of 6 years' corporate law clerk experience in a large law firm environmentA diploma in Law Clerk studies from an accredited Ontario college, or completion of the Institute of Law Clerks of Ontario certificationExperience working with a corporate databaseProfessionalism, with the ability to interact and communicate effectively with individuals at all levelsAbility to prioritize, multitask, and thrive in a fast-paced environmentAbility to exercise independent judgment while being a solid team playerExcellent organizational, verbal, and written communication skillsCompensation: $120,000 to $160,000 per annumVacancy: This position is for an existing vacancyAll offers of employment are conditional upon the satisfactory verification of a Canadian criminal record check and social media search.
