Senior Corporate Law ClerkThis is a replacement position.POSITION SUMMARYWe are seeking an experienced senior Corporate Law Clerk to join our Corporate Services team in our Toronto office. This role requires a confident, dependable professional who thrives in a fast paced environment and can effectively manage multiple priorities as they evolve. The successful candidate will be highly organized, demonstrate exceptional client service, and maintain a confidential approach to their work. A strong ability to multitask, keen attention to detail, and a genuine interest in being an early adopter of new technologies are essential for success in this role.RESPONSIBILITIESCompletes all levels of corporate paraprofessional work assignments and legal duties under the supervision of lawyersPrepares corporate documentation relating to incorporations, organizations, amendments, continuances, amalgamations, extra-provincial registrations, dissolutions, share and asset purchases, corporate reorganizations, etc.Manages and maintains updated corporate database and corporate recordsWorks with lawyers in all Dentons Canada offices to attend to OBCA and CBCA transactions, filings, and registration equivalentsReviews and analyzes corporate minute book records and recommends the appropriate actions to update records and rectify deficiencies, including drafting the required documentationUses relevant information and individual judgment to determine whether events or processes comply with laws, regulations, or standardsHandles general corporate work, including government filings,
and responds to inquiries from within and outside the firmProvides mentorship and training to more junior team membersOther duties as assignedREQUIREMENTS10+ years of experience as a corporate paraprofessional in a corporate services department of a law firmIn‑depth knowledge of legal procedures, statutes, and regulations applicable to commercial and corporate lawAbility to manage files from start to finishStrong interpersonal skills with the ability to deal with all stakeholders professionallyAbility to multitask and meet multiple deadlines under pressureDemonstrates initiative and able to work with minimal supervisionExcellent organizational skills, accuracy, and attention to detailStrong written and verbal communication skillsFlexible team playerInstitute of Law Clerks of Ontario Certification and membership an assetProficiency with Athennian, Ecore, and DocuSign is an assetSALARY & BENEFITSThe target salary range for this position is $110,000 – $125,000, commensurate with the successful candidate’s skills, experience, and qualifications.
