Role Overview: We are hiring for one of our clients, seeking a Funds Attorney to work on a contract basis. The role involves providing legal counsel on fund formation, compliance, and investment structures. Responsibilities include drafting and reviewing fund documents such as agreements, offering memoranda, and side letters.
Key Responsibilities:
- Draft, review, and negotiate fund formation and investment documents.
- Advise on regulatory compliance and fund governance matters.
- Conduct due diligence on fund structures and investment terms.
- Collaborate with cross-functional teams to address legal and operational issues.
- Ensure alignment of fund documents with applicable securities laws.
Required Skills & Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in a state bar association in the U.S.
- 3+ years of experience in fund formation and investment law.
- Solid understanding of U.S. securities regulations (e.g., Investment Company Act of 1940).
- Proficiency in drafting and negotiating fund agreements and related documentation.
