Role Overview: We are hiring for one of our clients, seeking a Mergers & Acquisitions (M&A;) Attorney (BigLaw Firms) to work on a contract basis. The role involves advising on high-stakes transactions, including mergers, acquisitions, and corporate restructuring. Candidates must have prior experience in BigLaw environments handling complex deal structures and regulatory compliance.

Key Responsibilities:

- Lead due diligence processes for M&A; transactions, identifying legal and financial risks.
- Draft, review, and negotiate transaction agreements, including purchase agreements and ancillary documents.
- Advise on corporate governance matters and compliance with securities regulations.
- Collaborate with cross-functional teams, including tax, finance, and executive leadership.
- Provide strategic legal counsel to clients on M&A; strategy and deal execution.

Required Skills & Qualifications:

- Admission to practice law in at least one U.S. jurisdiction is required.




- Minimum 5 years of M&A; experience in a top-tier law firm or equivalent corporate legal department.
- Strong proficiency in drafting and negotiating complex transactional documents.
- Deep understanding of federal and state securities laws, tax implications, and regulatory frameworks.
- Experience managing end-to-end M&A; transactions from term sheets to closing.
