The Senior Legal Counsel provides expert legal advice and co-ordination of legal services to Scotia Global Asset Management (GAM), with respect to GAM’s global business operating model and activities. Contributes to the overall success of the Legal Department in Canada ensuring specific individual goals, plans, initiatives are executed / delivered in support of the team’s business strategies and objectives. Ensures all activities conducted are in compliance with governing regulations, internal policies and procedures.
Is this role right for you? In this role you will:
- Provides expert legal counsel to SGAM and its functional support groups on a broad range of complex matters including but not limited to:
- advising on all aspects of the life-cycle of publicly and privately offered investment funds (including development, structuring, and offering documents)
- providing legal analysis and advice on the execution of SGAM’s increasingly globally oriented target operating model involving Canada and numerous other geographic jurisdictions.
- drafting and negotiating specialized investment fund documents such as investment management and sub-advisory agreements
- researching securities law regulatory developments and advising on implications to inform SGAM’s practices and documentation
- identifying legal and regulatory risks
- advising on policies and procedures
- drafting and negotiating commercial agreements and documentation
- creating and maintaining systems and precedents within the Legal Department
- investigating and resolving ad hoc legal issues.
- developing and maintaining strong working relationships with internal business units
- Exercises judgment to prioritize workload in a constantly shifting environment.
- Champions a customer focused culture to deepen client relationships and leverage broader Bank relationships, systems and knowledge.
- Directing and reviewing legal work being performed by outside counsel. Optimizing external counsel resources where required to ensure that work is performed efficiently and within agreed to budgets.
- Active participant on cross functional working groups within SGAM.
- Understands how the Bank’s risk appetite and risk culture should be considered in day-to-day activities and decisions.
- Pursues effective and efficient operations of his/her respective area and in which she/he provides legal advice to relevant control function groups to assist in supporting the effectiveness of business controls to meet obligations with respect to legal, operational, regulatory, and conduct risk, including but not limited to responsibilities under the Operational Risk Management Framework and the Guidelines for Business Conduct.

Skills Do you have the skills that will enable you to succeed? – We would love to work with you if you have:
- Graduate of a recognized law school.
- Membership in the Law Society of one of the provinces of Canada.
- Significant legal experience in the investment funds industry.
- Significant regulatory and securities law knowledge.
- High level of attention to detail, diligence, analytical, human relations and communications skills.
- Established problem solving skills and ability to prioritize in a constantly shifting environment.
