The company is focused on providing exceptional customer service and building safe communities.Job PurposeThe position supports and manages board, subsidiary, and corporate governance and compliance activities in accordance with securities laws, regulatory requirements, and the corporation’s governance framework. Working within the Corporate Secretary function, the role supports the effective functioning of the Board of Directors and its committees, maintains accurate corporate records, coordinates filings, and supports director and officer appointments.Duties and ResponsibilitiesMaintain accurate, audit‑ready corporate, board, committee, and subsidiary records.Serve as administrator for the governance management system, ensuring data integrity and workflow optimization.Support director and officer appointments, elections, onboarding, and offboarding.Provide governance and board relations support to senior secretaries in accordance with securities law and stock‑exchange requirements.Coordinate meetings, agendas, materials, minutes, and action tracking for the Board and its committees.Prepare confidential Board and Committee materials,
including briefing memoranda and resolutions.Manage highly sensitive information with discretion and professionalism.Support preparation of the Management Information Circular and Annual General Meeting.File and track required corporate, regulatory, and securities filings such as TSX, SEDI, and OnCorp.Act as a trusted governance resource to internal stakeholders and external advisors.Identify governance risks and process improvement opportunities.Operate with independence and attention to detail in a high‑volume workplace.Coordinate follow‑up actions from leadership discussions.Provide guidance and mentoring to less experienced staff.Perform other related responsibilities as required.QualificationsUndergraduate degree in a relevant discipline; law or regulatorycredentials are an asset.4+ years of progressive experience in a professional or advisory role.Working knowledge of Ontario securities law and experience with TSX, OnCorp, SEDI, and SEDAR filings.Experience within a Corporate Secretary’s Office of a public company is preferred.Experience with board portal platforms (e.G., Diligent) and entity‑management systems (e.G., GEMS) is an asset.High level of professionalism, discretion, and respect for confidentiality.Strong written English proficiency.Excellent organizational, planning, and prioritization skills.Effective time‑management and ability to handle multiple priorities.Physical RequirementsOccasional walking and standing during meetings and presentations.Working ConditionsNormal office‑based conditions.Legal NoticeHydro One will provide reasonable accommodation for qualified individuals with disabilities in the job application process.#J-18808-Ljbffr
