Role Overview: We are hiring for one of our clients, seeking a Corporate Attorney (BigLaw Firms) to work on a contract basis. This role involves advising on complex corporate transactions, including mergers and acquisitions, corporate governance, and securities law compliance. The position requires expertise in drafting and negotiating high-stakes agreements under tight deadlines.

Key Responsibilities:

- Provide legal counsel on corporate transactions, including mergers, acquisitions, and divestitures.
- Draft, review, and negotiate contracts, agreements, and corporate documents.
- Ensure compliance with federal, state, and international regulations related to corporate governance.
- Advise on securities law matters, including SEC filings and compliance requirements.
- Collaborate with cross-functional teams to structure and execute deals efficiently.

Required Skills & Qualifications:





- Active membership in a state bar association with corporate law experience.
- Experience drafting and negotiating M&A; agreements, corporate governance documents, and securities filings.
- Strong analytical and problem-solving skills with attention to detail.
- Ability to manage multiple high-priority transactions under tight deadlines.
- Excellent communication skills for interacting with clients, executives, and legal teams.
