- Associate Lawyers is seeking an experienced Corporate and Commercial Associate Lawyer to join our growing firm as our 20th lawyer. We are a well-established, full-service law firm serving a diverse client base. Our lawyers and staff come from a wide range of skilled, cultural, and personal backgrounds, and we consider that diversity one of the firm’s greatest strengths. This position is intended for a lawyer with meaningful corporate and commercial transactional experience who can independently manage files from the initial client meeting through negotiation, due diligence, drafting, closing, and post-closing.

Primary Responsibilities The successful candidate will independently handle corporate and commercial matters, including:

- Share purchase and sale transactions - Asset purchase and sale transactions - Purchases and sales of privately held businesses - Mergers, acquisitions, and corporate reorganizations - Incorporations, corporate organizations, and ongoing corporate maintenance - Shareholder, partnership, and joint-venture agreements - Unanimous shareholder agreements - Corporate resolutions, minute books, and ownership changes - Commercial leasing matters for landlords and tenants - Lease negotiations, assignments, renewals, amendments, and surrenders - Secured commercial lending and financing transactions - Acting for financial institutions, private lenders, borrowers, and guarantors - Drafting and reviewing loan agreements, security agreements, guarantees, postponements, priorities, and related financing documents - PPSA registrations, searches, amendments, renewals, and discharges - Conducting and reviewing corporate, PPSA, execution, bankruptcy, and other due-diligence searches - Preparing and reviewing closing agendas, documents, funds-flow memoranda, and closing reports - Managing transaction closings and post-closing matters - Advising entrepreneurs, professionals, family-owned companies,



and small and medium-sized businesses - Working with clients’ accountants, financial institutions, brokers, and other professional advisers - Supervising and providing direction to law clerks and support staff - Maintaining accurate files, deadlines, docketing, and client communications - Developing and maintaining strong, long-term client relationships Required Qualifications - Member in good standing with the Law Society of Ontario - Minimum of three years of directly relevant corporate and commercial law experience; four or more years is preferred - Demonstrated experience independently managing corporate and commercial transactions - Strong technical knowledge of business acquisitions, corporate documentation, commercial leasing, secured lending, and PPSA matters - Excellent legal drafting, negotiation, analytical, and problem-solving skills - Ability to review transaction structures, identify risks, and recommend practical solutions - Strong attention to detail and ability to manage multiple transactions and deadlines - Excellent written and verbal communication skills - Sound professional judgment and a strong commitment to client service - Ability to work independently while collaborating effectively with other lawyers and staff - Comfortable using legal practice-management, document-production, and electronic closing systems Preferred Experience Experience in several of the following areas will be considered a significant asset:




- Acting for banks or other institutional lenders - Private commercial lending - Share and asset purchase transactions - Corporate reorganizations - Commercial real estate transactions connected with business acquisitions - Franchise purchases and sales - Professional corporations - Tax-driven corporate transactions undertaken with accountants or tax counsel - Bringing or developing an existing client base The Ideal Candidate We are looking for a lawyer who is technically capable, commercially minded, organized, and comfortable taking ownership of files. The ideal candidate can communicate complicated legal issues in practical language, move transactions toward closing, and provide clients with responsive and solution-oriented service. This is not an entry-level position. The successful candidate must be capable of independently handling corporate and commercial transactions while knowing when a matter requires consultation or specialized advice.
