You’ll be the direct day‑to‑day contact for sophisticated investment fund and asset manager clients, working alongside fellow lawyers and paralegals. You’ll Work To Negotiate and manage high volumes of pre‑M&A; contracts – including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters – directly liaising with counterparties and adhering to agreed turnaround times Serve as the primary day‑to‑day contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers Maintain and update client playbooks on an ongoing basis, ensuring consistency and quality across all contract negotiations Contribute to the continuous improvement of Carta's legal technology suite, identifying ways to innovate using AI‑backed tools You communicate legal advice crisply and concisely, building strong relationships with sophisticated financial services clients. Experienced in transactional law.
You have 6‑8+ years of post law school corporate or transactional experience, with a track record of independently negotiating pre‑M&A; contracts (NDAs, NRLs, joinders, engagement letters). You have experience working with asset managers, investment banks, or other financial services firms and understand their expectations. Law Degree and licensed to practice.
You are licensed to practice law in the Americas (US/Canada). You are comfortable working with and evolving a legal technology suite (e.g. AI tools, HighQ), and an interest in legal tech or AI is a strong plus.
