Job Summary
We are seeking a detail-oriented and highly organized legal professional to join the Corporate Secretary's Department, reporting directly to the Director, Subsidiary Governance. The successful candidate will demonstrate strong initiative, positive energy, and sound judgment while supporting Canadian Subsidiary Boards in a dynamic and cooperative environment. This role requires an innovative thinker with superior organizational and time management skills, capable of managing multiple priorities calmly and professionally in a fast-paced, high-volume setting.
Responsibilities
- Assist in drafting governance documents including minutes, resolutions, and memos
- Maintain Canadian subsidiary minute books with accuracy and attention to detail
- Maintain signing authorities for Canadian subsidiaries and update authorized signatories in accordance with established approvals processes
- Collaborate with internal partners and respond to requests related to certifications, signing authorizations, and corporate information
- Assist with scheduling of Board meetings and Board planning meetings
- Take accountability for team initiatives and manage complex governance matters
- Lead and participate in special projects as delegated or assigned
- Perform various other duties as required in support of the Corporate Secretary's Department
Skills
- Tact, discretion,
and confidentiality in handling sensitive materials and interactions with directors and officers
- Strong written and verbal communication skills
- Excellent organizational and time management skills with a detail-oriented approach
- Proactive follow-up on outstanding matters with minimal direction
- Ability to prioritize work based on business and strategic priorities
- Ability to work effectively in a high-volume, paperless environment
- Understanding of the implications of legislation and regulatory requirements
- Flexibility to work variable hours as required
- General knowledge of the Canada Business Corporations Act, Insurance Companies Act (Canada), Trust and Loan Companies Act, Ontario Business Corporations Act, and OSFI guidelines
- Commitment to ongoing education to stay current on applicable legislation, regulations, policies, and rules
Experience
- 4+ years of relevant experience in corporate governance, a Corporate Secretary's Department, or a law firm workplace
- Experience drafting minutes and other governance documents
- Experience in corporate governance practices and subsidiary management
- Experience administering a Board Portal platform such as Diligent Boards or Boardvantage is considered an asset
Qualifications
- Post-secondary degree or an equivalent combination of education and relevant experience
- Law clerk designation is considered an asset
- Experience in a Corporate Secretary's Department of a public company or a law firm is preferred
