This is a hands-on role supported by a corporate secretary.This position will support Silver Elephant and its related companies, including CleanTech VanadiumMining Corp., and Oracle Commodity Holding Corp.This position allows location flexibility: either be working out of the Vancouver downtown office, orworking from home 4 days a week and 1 day a week in the office.Key Responsibilities:Ensure compliance with all regulatory matters and in particular securities law compliance; Liaise with TSX, IIROC, OSC / BCSC, and potentially the NYSE-AMEX,



SEC; Collaborate with external counsel, CEO, CFO in preparing:Disclosure materials and regulatory filings such as AIF, 20-FFilings for NYSE-AMEX exchangeSales and purchase agreements ("SPA") of mineral claimsSPA of Canadian and foreign companies holding mineral claimsDebt purchase agreements with mineral claims as liensCircular and AGM materialsPlan of arrangement for merger of Canadian companiesPlan of arrangement on spin out of subsidiariesOff take agreement of mineral concentrates with tradersDebt project financing subscription agreementsMining equipment financingEmployment agreementsLegal due diligence documents for M&AProspectus; offering base shelfProspectus short formManage news release dissemination from start to finishReview technical reports for compliance; Negotiate and closing various financial and property transactions; Provide timely legal support on a wide range of corporate, securities,
