Genuine Publishing Ltd. (“GPL” or “Company”) , a global provider of children’s digital education and entertainment, develops, distributes, and licenses quality children’s Edutainment products through a variety of media including television, DVD, multi-platform, downloadable devices, internet, retail, and direct marketing. Using child safety awareness as its unifying theme, (“GPL” or “Company”)

’ characters and related products serve a uniquely viable market niche by combining entertainment, educational programming, and merchandising – all of which address parents’ and children’s concerns about keeping safe and aware of their surroundings in their homes, their communities, and in an increasingly uncertain world.

Richard

Shergold identified a market niche where no other competitors developed commercialized characters dedicated to child safety, fitness, and education. Our global growth opportunities are significant and our path to success is very clear. One of our most important, competitive advantages is that we have proven content for Kids ‘on the shelf’, and more in the pipeline.

Genuine Publishing

Ltd. is a company based on Intellectual property, in which the production of television series and the sale of ancillary products will be accomplished. With branded products and unique programming, the company will aggressively distribute the television and multi-platform elements of the existing 'Full Motion Fitness' and 'Be Alert Bert' series. Multiple language versions will allow for increased broadcast and retail potential.

Both series will be packaged for online and Digital delivery with multiple episodes per digital download. Each USB will include ‘value added’ items such as books and music videos for distribution. Our future plans include the downloadable comic books, stories, music videos, and safety tips; as well, as the initiation of programs to assist and support special needs children and adults.

The new ‘Adventures of Bert and Clare’ series will be produced in 3DHD, and ‘Full Motion 2’ will be produced in HD and will have branded clothing and toys etc. Both series will be developed multiplatform and will include interactive games, contests, digital education modules, online comics, and story books, and will also include delivery on DVD.

The entire US DVD market in 2009 was just shy of $17 billion, with kids’ sales estimated at about one third of that. Part of the reason is DVDs are portable; they offer an educational component, and they can be watched over and over.

Smart Kids also plans to work with Kids safety organizations and corporations worldwide to make the company’s beehive symbol an internationally recognized symbol for children’s safety. We believe that one day establishments such as McDonald’s, Target, etc. will post ‘Beehive’ symbols at their locations so that children who are lost or troubled will recognize that they can seek safety and assistance there.

After attending the annual New York Licensing Show, John Celentano, President of Global Ventures Group Inc., Connecticut, US, reported that “I walked the show for two full days and was not able to find or identify any properties that were connected with or dedicated to the theme of child safety, which continues to allow Be Alert Bert to stand out as the one property dedicated to the full spectrum of child safety concerns and activities.” Mr.

Celentano’s background includes work with “Peanuts” and “Garfield” while employed with a large Current York licensing company called United Media. He also worked for Fisher-Price Toys.

From a Canadian perspective, there is no commercialized, character-based product, which is dedicated to the theme of child safety.

Be Alert

Bert and Full Motion Fitness. We will also be pursuing Canadian broadcast licenses and other funding opportunities to help cover the cost of additional language versions for both series as well as an update of the Smart Kids community website. Our plan is to be ready for the marketplace before Christmas to take advantage of increased sales via online and retail distribution of the DVD’s.

The Line of Credit will provide financial stability for day-to-day operation of the company through the development, production, and delivery of these initiatives. The line of credit would be guaranteed by Genuine Publishing Ltd. (Canada). The requested funds will be expended on the items outlined in the Financial Requirements section. Every effort will be made to scrutinize expenditures and to establish revenue streams based on existing and future product.

Genuine Publishing Ltd. will also seek funding through traditional Canadian television and multi-media systems for the development and production of the television/multi-platform elements of the two new series: The Adventures of Bert and Clare and Full Motion Fitness 2.

Genuine Publishing Ltd. has also completed preliminary work on a Social Networking platform. The first item on our agenda is to repackage the two existing series ‘Be Alert Bert’ and ‘Full Motion Fitness’ to prepare them for market in October 2010.

Four pilot episodes of the new series ‘The Adventures of Bert and Clare’ will be developed over the summer and go into production in the fall, with delivery anticipated before the end of 2010. Plans are for the balance of the series to be developed and produced in 2011.

The ‘Full Motion Fitness2’ series is scheduled for development in and production in 2023. We are working towards launching a Genuine Publishing Ltd. Social Networking platform by end of 2010.

Genuine Publishing Ltd. plans to pursue outside projects for acquisition and distribution; and will also explore coproduction opportunities with other companies and countries.

The development and production of the two new series will include many of the same crew as the BAB and FMF existing series. We are in discussion with a Calgary animation company and a sound company from Edmonton for the pilot programs of Adventures of Bert and Clare.

Full Motion

Fitness 2 will be produced in Edmonton with local talent, crew and facilities. We plan to produce both current series in multiple language versions (English, French, and Spanish) with additional language versions to be completed according to demand.

Smart Kids is on a market trajectory to achieve International brand recognition equal to that of other children’s character-based businesses such as Jim Henson’s ‘Muppets’.

We have endeavored to determine why there is no competition in this market segment and have come up with three probable explanations: 1) nobody has come up with the “right” character; 2) the high cost of developing and marketing a character; and 3) the market has not been ready until now as public concern for violence has escalated, offering much greater potential for a safety character’s success.

The entertainment industry at large has come to recognize that young adults and kids are consuming content voraciously, in ways not dreamt of even 10 years ago – they’re looking to follow the story surrounding a given property on as many mediums as possible, be it traditional TV, films, fan sites or related products. But to make a property truly work across the various platforms out there, the entertainment concept has to be conceived as bigger than any one medium and constructed with a sense of how each grand story arc will play out across each media touchpoint. Transmedia storytelling, as it’s become known, is really the art that’s driving this approach.

Over a five-year period, consumer time spent using mobile devices for entertainment, news and personal use has increased 200 percent globally. The use of mobile devices such as computer tablets and smart phones is also creating opportunities to follow viewers throughout the day; and by targeting content to maximize viewers there are increased revenue opportunities. In a recent Globe and Mail online article, Microsoft Executive Darren Huston indicates ‘Digital advertising will continue to grow strongly for the next four to five years; driven by online video and emerging markets ...

Online video is very hot. It’s gone from when nobody wanted to advertise on it to now there is not enough online video inventory...” Microsoft Executive Darren Huston, Globe, and Mail June 2010.
