A well-established boutique Vancouver law firm is seeking an experienced Corporate Paralegal to join its busy corporate practice. This is an excellent chance for a senior professional who enjoys sophisticated corporate work, values accuracy and client service, and thrives in a collaborative environment.
The successful candidate will work closely with senior lawyers on a broad range of private-company matters, including corporate reorganizations, incorporations, amalgamations, continuations, wind-ups and ongoing corporate maintenance. The role requires sound judgment, discretion and the ability to manage complex matters with a high degree of independence.
Key Responsibilities:
Receiving and interpreting instructions from lawyers, accountants and written planning materials
Preparing document lists, closing agendas and documentation for routine and complex corporate transactions and reorganizations
Preparing and filing incorporations, alterations to share structures and articles, amalgamations, continuations and wind-ups under British Columbia and federal legislation
Preparing documentation for societies, partnerships and sole proprietorships
Completing corporate changes involving shareholders, directors, officers, and registered and records offices
Maintaining physical and virtual minute books, registers and other corporate records
Preparing transparency registers and annual maintenance documentation
Reviewing corporate records, identifying deficiencies and preparing rectification resolutions
Conducting corporate searches and related due diligence
Preparing reporting letters, closing books and transaction summaries
Reviewing and revising documents prepared by clients and lawyers in Word and PDF
Entering and maintaining corporate data using corporate records-management software
Providing additional corporate and practice support as required
Qualifications and Skills:
Paralegal designation from a recognized program or an equivalent combination of education and experience
Minimum seven years of corporate paralegal experience
Experience using ALF is preferred
Solid experience with complex corporate transactions, reorganizations and corporate records
Excellent written and verbal communication skills with a client-focused approach
Sound judgment, discretion and the ability to handle confidential and sensitive information
Exceptional organization, accuracy and attention to detail
Ability to prioritize competing demands and work effectively in a fast-paced environment with limited supervision
Ability to remain calm under pressure and take ownership of matters
Strong proficiency with Microsoft Word, Excel, Outlook, Adobe Acrobat and corporate records-management systems
Positive, proactive and collaborative approach, with the ability to work independently and as part of a team

Compensatoin:
The expected base salary for this role is in the range of $80,000–$120,000, commensurate with individual experience and qualifications. In addition to base salary, our client offers a robust benefits package including health and dental coverage, insurance coverage, and retirement program.
