Waterloo Catholic District School Board External Community Member — Audit Committee The Waterloo Catholic District School Board is seeking applications from qualified community members interested in serving as an external member of the Board's Audit Committee.
The Audit Committee is a statutory committee established under subsection 253.1(1) of the Education Act and Ontario Regulation 361/10, Audit Committees. The Committee assists the Board of Trustees in fulfilling its governance and oversight responsibilities in the areas of financial reporting, external audit, internal audit, risk management, internal controls, compliance, and stewardship of Board resources.
Committee Composition and Meeting Commitment In accordance with Ontario Regulation 361/10, the Audit Committee is composed of three Board of Trustee members and two external community members who are not Board members.
The Chief Executive
Officer, Chief Financial Officer, WCDSB Internal Audit Officer, Regional Internal Audit Manager, and other resource personnel attend meetings as required.
The Committee meets five times per year, with additional meetings scheduled as required.
Candidate Eligibility
Applicants must meet the eligibility requirements set out in Ontario Regulation 361/10. Eligible candidates:
- Have accounting, financial management or other relevant business experience that would enable them to understand the accounting and auditing standards applicable to the board, and
- Are not an employee or officer of any school board at the time of the appointment, and
- Do not have a conflict of interest at the time of the appointment. A conflict of interest exists if their parent, child, or spouse is employed by WCDSB, or if the candidate has other interests that interfere with independent and or skilled service on the Audit Committee, and
- Are identified by the selection committee as a potential candidate for appointment to the audit committee, and
- Are not employed by the WCDSB's external auditor of record (Doane Grant Thornton, LLC).
Term and Remuneration The appointment will be for a three-year term commencing October 1, 2026. External community members may be reappointed in accordance with Ontario Regulation 361/10 and Board requirements. This is a volunteer position. Approved incidental expenses such as mileage and parking will be reimbursed if approved in advance and in accordance with WCDSB's Expense Rules.
