Law Clerk, Subsidiary Governance
Location: Toronto, ON
Work Model: Hybrid, 2 days onsite per week
Contract: August 31, 2026 to August 6, 2027
Rate: $35 to $46/hr INC
Security Requirement: Reliability Clearance required
Interview Process: 2 rounds, first virtual and second in person
Important: Candidates must have been in Canada for at least 5 years to be eligible to obtain the required Reliability Clearance.
About the Opportunity
We are seeking an experienced Law Clerk, Subsidiary Governance to join a Corporate Secretary’s Department and provide governance support for Canadian subsidiary boards.
This is an excellent opportunity for a detail oriented governance professional with experience supporting corporate boards, maintaining corporate records, drafting governance documentation, and working with senior stakeholders.
The successful candidate will demonstrate strong initiative, sound judgment, discretion, excellent organizational skills, and the ability to manage multiple priorities within a fast paced and collaborative corporate environment.
Key Responsibilities
- Support Canadian Subsidiary Boards and the Corporate Secretary’s Department
- Assist with drafting corporate governance documents, including minutes, resolutions, and memoranda
- Maintain Canadian subsidiary minute books and corporate records
- Maintain signing authorities for Canadian subsidiaries
- Update authorized signatories in accordance with established approval processes and signing authorization resolutions
- Collaborate with internal business partners and respond to requests for certifications, signing authorizations, corporate information, and related documentation
- Coordinate and schedule Board meetings and Board planning meetings
- Take ownership of team initiatives and complex governance matters
- Lead or participate in special projects as required
- Manage sensitive and confidential information involving directors and officers
Required Qualifications
Must Have
- Post secondary degree with 4+ years of relevant experience, or an equivalent combination of education and experience
- Experience with corporate governance
- Experience drafting Board or corporate minutes
- Solid knowledge of corporate records and governance documentation
- Excellent Microsoft Office skills, including Word, PowerPoint, Excel, and Outlook
- Strong written and verbal communication skills
- Excellent organizational and time management skills
- Strong attention to detail
- Ability to prioritize work with minimal direction
- Ability to work effectively in a high volume, paperless environment
- Ability to handle confidential and sensitive information with tact and discretion
- Must meet the residency requirements necessary to obtain Reliability Clearance
Preferred Qualifications
- Previous experience within the Corporate Secretary’s Department of a public company or a law firm
- Law Clerk designation
- Experience administering a Board Portal platform such as Diligent Boards or Boardvantage
- Knowledge of applicable Canadian corporate legislation and regulatory requirements, including:
- Canada Business Corporations Act
- Insurance Companies Act (Canada)
- Trust and Loan Companies Act
- Ontario Business Corporations Act
- OSFI guidelines
