Senior Corporate M&A; Paralegal | Edmonton, Alberta
We are partnering with a highly respected national law firm to recruit an accomplished Senior Corporate M&A; Paralegal for its Edmonton office.
This is an exceptional opportunity for an experienced paralegal who has built strong technical expertise in corporate law and can independently manage sophisticated transactions from initial instructions through closing and post-closing matters.
The successful candidate will work closely with lawyers and clients on complex corporate and tax-driven transactions, including mergers and acquisitions, reorganizations, financings, share and asset purchases, due diligence, and corporate record reviews.
Key responsibilities will include:
Drafting corporate resolutions, agreements, notices, and ancillary transaction documents
Preparing documentation for mergers, acquisitions, reorganizations, financings, and share or asset transactions
Handling incorporations, organizations, amalgamations, continuances, dissolutions, revivals, amendments, and extra-provincial registrations
Drafting complex share provisions and documents related to tax-driven corporate reorganizations
Conducting detailed minute book and corporate record reviews
Maintaining securities registers, ledgers, corporate records, and virtual minute books
Conducting corporate searches and reviewing filings for accuracy and statutory compliance




Working directly with lawyers and clients throughout transactions
Supporting and mentoring intermediate and junior paralegals
Managing multiple complex files while ensuring deadlines and client expectations are consistently met
The ideal candidate will bring:
At least six years of Corporate M&A; paralegal experience within a law firm
Advanced knowledge of Alberta and federal corporate legislation and procedures
Strong drafting and document-review capabilities
The ability to analyze corporate records, identify deficiencies, and recommend corrective action
Excellent judgment, organization, accuracy, and attention to detail
The confidence to work independently and manage complex matters with minimal supervision
Strong communication and client-service skills
Experience supporting or mentoring junior team members
