We are hiring for one of our clients, seeking a Corporate Attorney to work on a contract basis. The role involves providing legal counsel on corporate governance, compliance, and transactional matters. Responsibilities include drafting and reviewing contracts, advising on regulatory requirements, and ensuring alignment with company policies.
Key Responsibilities:
- Draft, review, and negotiate corporate agreements, including service, partnership, and vendor contracts.
- Advise on corporate governance matters, ensuring compliance with federal, state, and international regulations.
- Conduct legal research and provide actionable insights on emerging regulatory developments affecting business operations.
- Support due diligence processes for mergers, acquisitions, or other strategic transactions.
- Manage external legal counsel and coordinate with cross-functional teams to mitigate legal risks.
Required Skills & Qualifications:
- Juris Doctor (JD)
degree from an accredited law school and active bar membership in at least one U.S. jurisdiction.
- Minimum of 5 years of experience in corporate law, with a focus on transactional and compliance matters.
- Robust expertise in drafting and negotiating commercial contracts and corporate governance documents.
- In-depth knowledge of corporate compliance frameworks, including SEC, GDPR, or other relevant regulations.
- Ability to analyze complex legal issues and provide clear, actionable guidance to non-legal stakeholders.
