Corporate Governance Law Clerk
Join a collaborative team in the insurance sector on a contract assignment covering a leave of absence. This opportunity provides valuable exposure to governance activities, board administration, and cross-functional collaboration in a qualified environment.
What is in it for you:
- Hourly salary of $37-43, based on experience.
- 12-month contract.
- Day schedule, 37.50 hours per week.
- Hybrid role with 2 on-site days per week in Toronto.
Responsibilities:
- Work collaboratively with the Director, Subsidiary Governance and peers to support Canadian Subsidiary Boards and the Corporate Secretary’s Department.
- Assist in drafting governance documents, including minutes, resolutions, and memos.
- Assist in maintaining Canadian subsidiary minute books.
- Assist in maintaining signing authorities for Canadian subsidiaries and update authorized signatories by following the approvals process set out in the respective signing authorization resolutions.
- Collaborate with internal partners and respond to requests related to certifications, signing authorizations, and corporate information.
- Assist with the scheduling of Board meetings and Board planning meetings.
- Maintain accountability for team initiatives, manage complex matters, and perform other delegated or assigned duties, including leading or participating in special projects as required.
What you will need to succeed:
Required qualifications
- Post-secondary degree with 4+ years of experience or an equivalent combination of education and relevant experience.
- Experience in corporate governance.
- Experience in drafting minutes.
- Excellent computer skills (Microsoft Word, PowerPoint, Excel, Outlook).
- General knowledge of Canada Business Corporations Act; Insurance Companies Act (Canada); Trust and Loan Companies Act; Ontario Business Corporations Act; OSFI guidelines.
- Ongoing education to stay current on applicable legislation, regulations, policies and rules.
- Understanding implications of legislation and regulatory requirements.
Required soft skills

- Strong communication and organizational skills.
- Attention to detail.
- Proactive approach and follow-up.
- Ability to work effectively in a high-volume, paperless environment.
Preferred qualifications
- Experience in a Corporate Secretary's Department of a public company or a law firm.
- Law clerk designation.
- Experience administering Board Portal platform (Diligent Boards or Boardvantage.
