BC Soccer – Board of Directors
Role Description: Director-at-Large
About BC Soccer
Established in 1904, BC Soccer is the largest provincial sports organization (PSO) in BC and the third largest soccer-specific PSO in Canada with over 150,000 participants, consisting of registered players, coaches, referees, administrators and soccer leaders.
As a professional not-for-profit society and a member of Canada Soccer, BC Soccer works to connect communities through soccer, build a better future through soccer, and lead and support a strong soccer culture in British Columbia.
Soccer reaches communities across the province and brings together people of different ages, genders, abilities, backgrounds, cultures, and experiences. BC Soccer seeks to maintain a Board of talented and dedicated Directors whose collective knowledge, skills, competencies, lived experiences and perspectives reflect both the strategic needs of the organization and the diverse communities it serves.
The Opportunity
Serving on the BC Soccer Board of Directors is an opportunity to help shape the future of one of British Columbia's largest sport organizations and influence the development of soccer across the province.
Directors provide strategic leadership, governance and oversight on behalf of BC Soccer's membership. The Board works collectively to establish strategic direction, oversee organizational performance and risk, steward BC Soccer's resources, establish policy, and support the long-term health and sustainability of the organization.
Directors do not manage BC Soccer's day-to-day operations. The Board appoints and oversees the Chief Executive Officer (CEO), who is responsible for leading the organization operationally and managing BC Soccer staff. Director-at-large positions are volunteer roles elected by BC Soccer's membership at the Annual General Meeting.
Accountable to: BC Soccer President, Chair of the Board
Individual Directors work within the governance framework established by the BC Societies Act, BC Soccer's Constitution and Bylaws, and applicable Board policies.
Directors should respect the distinction between governance and operations and normally engage with BC Soccer staff through established Board and CEO governance processes.
Responsibilities of a Director:
Directors share collective responsibility for the governance and stewardship of BC Soccer. Each Director is expected to:
1. Strategic Direction and Organizational Stewardship
•Help shape, approve and periodically review BC Soccer's strategic direction, priorities and long-term goals. •Monitor organizational performance against the Strategic Plan and other Board-approved objectives.
•Bring independent judgment, diverse perspectives and constructive challenges to Board discussions and decisions.
•Consider the long-term interests and sustainability of BC Soccer and soccer throughout British Columbia.
2.Governance and Fiduciary Oversight
•Act honestly and in good faith with a view to the best interests of BC Soccer.
•Exercise the care, diligence and skill expected of a Director under the BC Societies Act.
•Understand and fulfill the Board's fiduciary, legal, and governance responsibilities.
•Review and approve governance policies, major organizational policies, and other matters reserved for the Board.
•Maintain appropriate oversight of BC Soccer's financial health, resources and organizational sustainability.
3.CEO Oversight
•Support the Board in appointing, supporting, and evaluating the Chief Executive Officer.
•Maintain an appropriate distinction between the Board's governance responsibilities and the CEO's responsibility for organizational management and operations.
•Provide strategic guidance and constructive oversight without directing staff or becoming involved in day-to-day operational matters.
4.Risk, Integrity and Accountability
•Oversee significant strategic, financial, operational, and reputational risks facing BC Soccer.
•Support a culture of safe sport, integrity, accountability, and good governance.
•Identify and appropriately disclose actual, potential, or perceived conflicts of interest.
•Maintain confidentiality and comply with BC Soccer's governance policies and protocols.
5.Board and Committee Participation
•Prepare for, attend, and actively participate in Board meetings.
•Serve on Board committees and/or undertake Board liaison responsibilities as assigned.
•Participate in Board orientation, education, evaluation and professional development.
•Contribute constructively to Board discussions, including raising difficult or contentious issues when appropriate.
•Support decisions made by the Board collectively, regardless of individual voting position.
- Representation and Relationships
•Act as a positive ambassador for BC Soccer and its purpose, vision and values.
•Listen to and understand perspectives from across BC Soccer's membership and broader soccer community while recognizing that Directors govern in the best interests of BC Soccer rather than representing an individual member, region, constituency or stakeholder group.
•Build constructive relationships with fellow Directors, members, partners, and stakeholders.
•Represent BC Soccer externally when authorized or requested by the Board.

•an objective, open-minded approach and willingness to respectfully challenge ideas;
•curiosity, adaptability and willingness to learn;
•the ability to consider different perspectives and make decisions in the best interests of BC Soccer as a whole; and
•the time and commitment required to be an engaged and effective Director.

Maintaining appropriate independence is an important component of good governance.
In accordance with BC Soccer's Bylaws, a Director may not hold office, serve as a director, or be an employee of a member under the jurisdiction of BC Soccer. A newly elected Director must relinquish any such position within the period prescribed by the Bylaws.
Directors must also disclose and appropriately manage actual, potential and perceived conflicts of interest throughout their term.
