As a Legal Counsel, you will be a trusted advisor to leadership and departments, providing strategic legal guidance on corporate governance, regulatory compliance, contract management, and risk mitigation. This role is ideal for a detail-oriented, analytical, and proactive legal qualified with expertise in corporate and healthcare law, particularly in medical devices, health privacy, and regulatory compliance.

You will collaborate with senior management, HR, operations, and external stakeholders to navigate complex legal landscapes, ensure adherence to Canadian healthcare regulations, and safeguard the company’s interests. Your expertise will be pivotal in managing contracts, resolving disputes, and developing policies that align with legal and business objectives.

Key Responsibilities

Legal Advisory & Compliance

- Provide expert legal guidance on corporate governance, regulatory compliance, and business operations to senior management and cross-functional teams.
- Advise on the legal implications of business decisions, including risk assessment and mitigation strategies.
- Serve as a legal resource for HR Business Partners, addressing employment law matters such as statutory leave protections, human rights, duty to accommodate, and workplace dispute management.
- Monitor and interpret Canadian healthcare regulations, including:
- Health Canada standards for medical devices (e.g., CPAP and home oxygen products).
- Provincial health privacy laws (e.g., PIPEDA, PHIPA) regarding Personal Health Information (PHI).
- Advise on privacy and data protection compliance for digital health initiatives.
- Ensure adherence to public-private service contracts and billing frameworks (e.g., Extended Health Benefits).

Contract Management

- Draft, review, and negotiate a wide range of contracts, including:




- Vendor and client agreements
- Commercial leases and service agreements
- Public-private service contracts (e.g., Home Oxygen Programs)
- Dual-funding billing frameworks (e.g., Extended Health Benefits)
- Ensure all contracts comply with applicable laws, Health Canada regulations, and company policies.

Dispute Resolution & Risk Management

- Manage ongoing legal disputes and claims in collaboration with external defense counsel.
- Maintain corporate document preservation and litigation hold obligations.
- Represent the company in negotiations and settlements to achieve favorable outcomes.
- Identify and assess potential legal risks, developing strategies to mitigate them.
- Conduct internal audits and assessments to ensure ongoing compliance and address issues proactively.

Policy Development, Training & Corporate Governance

- Maintain, interpret, and enforce corporate policies and risk toolkits.
- Conduct training sessions for staff on legal compliance and best practices.
- Provide ad-hoc legal support for corporate governance, filings, entity maintenance, and special projects.
- Review and advise on transaction-related documentation and agreements.

Legal Research & Reporting

- Stay current with changes in laws and regulations affecting the healthcare and medical device sectors.
- Conduct legal research to support decision-making and policy development.
- Maintain accurate records of legal documents, contracts, and correspondence.
- Prepare and present legal reports and updates to the executive team and board of directors.

Collaboration

- Work closely with external legal advisors and regulatory agencies.
- Partner with other departments to support company objectives and ensure legal alignment.

Other Duties

- Perform additional duties as assigned by management to support organizational objectives.

Key Performance Indicators (KPIs)

- Contract turnaround time: Efficient review and negotiation of contracts.
- Dispute resolution success rates: Favorable outcomes in legal disputes.
- Compliance audit performance: Successful internal and external audits.

Qualifications & Skills





Education & Experience

- Bachelor’s degree in Law (LLB/JD) from an accredited institution.
- Licensed to practice law in Canada (or eligible to obtain a license).
- Minimum 5–7 years of experience in corporate law, healthcare law, or regulatory compliance, with a focus on medical devices or healthcare services.
- Experience in contract negotiation, employment law, and dispute resolution is highly desirable.
- Familiarity with Health Canada regulations, PIPEDA, PHIPA, and provincial health privacy laws is a strong asset.

- Ability to navigate fast-paced and evolving legal landscapes.
- Strong research and drafting skills, with attention to detail.
- Proficiency in legal compliance tools and document management systems.

Individual compensation packages are based on various factors unique to each candidate, including skill set, experience, qualification and other job-related reasons. This job grade falls within a salary band starting at the minimum of $105,000 with opportunity for advancement.
