Responsibilities
- Advise on a range of corporate matters, with a focus on private M&A; transactions
- Support on select public and capital markets matters as needed
- Draft, review, and negotiate transaction documents, including share and asset purchase agreements and ancillary agreements
- Manage deal processes, including due diligence, closing coordination, and transaction execution
- Work closely with partners and senior lawyers across multiple mandates
- Coordinate with internal teams as required across corporate and securities matters
- Manage files with partner oversight and increasing autonomy
- Support partners on active corporate and transactional mandates

Requirements
- Member in good standing of the Ontario Bar
- 2–5 years of call
- Training at a reputable firm in corporate law
- Strong experience in public M&A;, securities, capital markets and private Equity transactions
- Ability to run files with confidence and work efficiently with partner supervision
- Strong work ethic with demonstrated billable capacity
- Commercially minded, detail-oriented, and proactive
- Adaptable, responsive, and comfortable in a fast-paced workplace
- Strong communication skills and team-oriented approach
