Legal Counsel
BroadGrain Commodities Inc. (“BroadGrain”) is a fast-growing global company trading and transporting grains, cereals, oilseeds, pulses, specialty crops and by-products. We use our expertise and experience in logistics, sourcing and distribution to connect our customers to global markets while providing excellence in customer service. Today, BroadGrain enjoys over $700 million in annual revenue and handles over two million tons of agricultural commodities each year in our international and domestic businesses. We are poised for continual growth across all of our business units and are continually looking to add talented individuals to support our expansion.
We are currently looking to add a Legal Counsel to support our team. This is a temporary full-time contract position with an anticipated duration of approximately 12 months. As a member of BroadGrain's Corporate team located in the Toronto Head Office, you will report directly to the CEO and be responsible for overseeing and coordinating all of the company's legal activities, including (but not limited to):
Manage corporate group structure in Canada and internationally, including servicing company regulatory requirements, managing minute books, opening and closing new subsidiaries and handling other corporate matters
Coordinate all external legal activities with service provides in each jurisdiction where the group operates, including Canada, UAE, Nigeria, Algeria, China, Barbados and Argentina
Oversee regulatory compliance in maintaining the company’s required licenses
Structure, review, draft and negotiate commercial contracts
Anticipate and assess potential benefits and risks associated with business opportunities
Develop and suggest solutions on complex and novel legal issues involving different jurisdictions
Counsel business divisions on subject matters including but not limited to IT laws, employment and labor laws, contract laws, regulatory controls, etc.
Assist in executing frequent new financing transactions and occasional M&A; activity
Conduct corporate due diligence searches and summaries, preparing articles of incorporation
Handle all issues pertaining to business transactions, draft client agreements, draft purchase agreements, etc.
Develop and implement internal practices and policies to achieve compliance with both the spirit and intent of applicable laws and regulations
Provide support in litigation oversight
Keep up-to-date and reporting of legislative changes
Examine national, international, provincial, municipal and other laws and regulations as required identifying any conflicts that may arise
Adhoc responsibilities as they occur
QUALIFICATIONS
Member of the Law Society of Upper Canada (Ontario) and in good standing
3 years of post-call experience
Excellent knowledge of Canadian laws (in particular laws relevant to the business)
Beneficial to have experience and interest in international, cross-border matters
Adaptable to a multi-cultural environment
Willingness to understand the technical issues of files and find creative solutions to issues
Beneficial to have business, risk management or financial training
Strong time management skills, highly efficient and a skilled approach
Superior drafting and oral communication skills, with the ability to communicate effectively at all levels of the organization
While not necessary, communication skills in French, Spanish, Arabic or Mandarin is an asset
